Offer and Acceptance of Employment. The Company hereby agrees to employ the Executive as Vice Chairman of the Company. The Executive accepts such employment and agrees to perform the customary responsibilities of such position during the term of this Agreement. The Executive will perform such other duties as may from time to time be reasonably assigned to him by the Board, provided such duties are consistent with and do not interfere with the performance of the duties described herein and are of a type customarily performed by persons of similar titles with similar corporations. Nothing in this Agreement shall preclude Executive from serving as a director, trustee, officer of, or partner in, any other firm, trust, corporation or partnership or from pursuing personal investments, as long as such activities do not interfere with Executive's performance of his duties hereunder.
Offer and Acceptance of Employment. The Company hereby agrees to employ the Executive, and the Executive hereby accepts such employment with the Company, in each case effective as of the Effective Date and otherwise subject to the terms and conditions set forth in this Agreement.

The Company hereby agrees to continue to employ Executive as Senior Vice President and General Counsel and Executive's principal place of business shall be located at 000 X Xxxxx Xxxxxx Xxxxxxx Xxxxxx XX, 00000; provided that from time to time, Executive will travel to the Company’s (or its subsidiaries’ or affiliates’) other offices or locations, as may be necessary, appropriate or convenient to perform Executive’s duties. Executive accepts such employment and agrees to perform the customary responsibilities of such position during the term of this Agreement. Executive will perform such other duties as may from time to time be reasonably assigned to Executive by the Chief Executive Officer of the Company or his designee (the “CEO”), provided such duties are consistent with and do not interfere with the performance of the duties described herein and are of a type customarily performed by persons of similar title with similar companies. Nothing in this Agreement shall preclude Executive from serving as a director, trustee, officer of, or partner in, any other firm, trust, corporation or partnership or from pursuing personal investments, as long as such activities do not interfere with Executive's performance of Executive's duties hereunder or violate the terms of Section 6 hereof. For purposes of this Agreement, a transfer of the Executive’s employment among the Company, its subsidiaries or its affiliates, or to any businesses operated by them (all such entities together, “Company Group”) shall not be deemed to be a termination of the Executive’s employment, and the entity to which Executive’s employment is transferred shall thereafter be deemed to be the Company for purposes of this Agreement. Executive further agrees to serve as an officer of Genesis Healthcare, Inc. and any other member of the Company Group.

The Company hereby agrees to employ the Executive as Chief Operating Officer of its NeighborCare Division, and Executive's principal place of business shall be located at the Company's headquarters currently located in Baltimore, Md.. The Executive accepts such employment and agrees to perform the customary responsibilities of such position during the term of this Agreement. The Executive will perform such other duties as may from time to time be reasonably assigned to the Executive by the Board of Directors of the Company (the "Board") or the Company's Chief Executive Officer, provided such duties are consistent with and do not interfere with the performance of the duties described herein and are of a type customarily performed by persons of similar titles with similar corporations. Nothing in this Agreement shall preclude the Executive from serving as a director, trustee, officer of, or partner in, any other firm, trust, corporation or partnership, as long as such activities do not interfere with the Executive's performance of the Executive's duties hereunder or violate the terms of Section 8 hereof, and so long as the Executive has received written approval by the Chief Executive Officer of the Company. Furthermore, nothing in this Agreement shall preclude the Executive from pursuing personal investments, as long as such activities do not interfere with the Executive's performance of the Executive's duties hereunder or violate the terms of Section 8 hereof.
Offer and Acceptance of Employment. The Company hereby agrees to continue to employ Employee as the Chief Operating Officer. Employee accepts such employment and agrees to perform the customary responsibilities of the Chief Operating Officer with the Company and/or certain of its subsidiaries as may be reasonably assigned to him from time to time by the Company in its discretion. Employee will perform such other duties as may from time to time be reasonably assigned to him by the Company in its discretion.
Offer and Acceptance of Employment. Commencing on May 10, 1995 (the "Effective Date"), the Company agrees to and hereby does, employ the Executive as its in-house legal counsel. The Executive hereby accepts such employment in such capacity and agrees to discharge faithfully, diligently, and to the best of her ability the responsibilities of that position.
Offer and Acceptance of Employment. The Company hereby agrees to employ the Employee as the President and Chief Operating Officer of the Company until the separation of the Company from Extendicare Inc. pursuant to the Arrangement Agreement to be entered into by, among others, the Company, Extendicare Real Estate Investment Trust and Extendicare Inc. (the “Separation”) and, effective as of the Separation, to employ the Employee as the President and Chief Executive Officer of the Company. The Employee accepts such employment and agrees to perform the customary responsibilities of such position with the Company and/or certain of its subsidiaries as may be assigned to her from time to time by the Company. The Employee will perform such other duties as may from time to time be reasonably assigned to her by the Company, provided such duties are comparable with the type of duties performed by persons of similar titles with the Company, its subsidiaries or other affiliates.
