Existing Employment Agreement. This Agreement shall not supersede, but shall be supplemental to, any Employment Agreement, other contract of employment or other agreement in effect between the Company and the Executive governing the terms and conditions of the Executive’s employment with the Company as of the date of execution hereof. Notwithstanding the foregoing, and notwithstanding any provision of any Employment Agreement to the contrary, any Retention Incentive paid to the Executive pursuant to this Agreement will not be taken into account in determining any amounts payable to the Executive pursuant to the term of any Employment Agreement.
Existing Employment Agreement. Except as modified hereby, the terms and conditions of the Employment Agreement shall continue in full force and effect.
Existing Employment Agreement. The Existing Employment Agreement is hereby amended and restated in its entirety as of the Effective Date.
Existing Employment Agreement. Executive and the Company agree to ----------------------------- terminate, as of the date of this Agreement, the current Employment Agreement dated as of November 3, 1994 between Executive and the Company. In full satisfaction and settlement of all amounts due to Executive under the current Employment Agreement, promptly following execution of this Agreement Executive shall receive (i) 323 units of P&F Capital Stock, consisting of 4/9 of a share of P&F Common Stock and 5/9 of a share of P&F Series A Convertible Preferred Stock; and (ii) cash of $216,000, out of which the Company shall make tax withholdings required by law and other voluntary deductions authorized by Executive.
Existing Employment Agreement. The Executive confirms that the Executive on behalf of himself, his heirs, executors, administrators and assigns hereby releases the Employer and its Affiliates from all claims which he has or may have against the Employer, including Inlogic Ontario, (and its current and former officers, directors, employees, shareholders and agents) relating to periods prior to the Effective Date, including without limitation any claims relating to Executive's employment or engagement prior to the Effective Date with Employer and Inlogic Ontario, regardless of whether the Executive was engaged in a consulting or employment capacity. For greater certainty and as permissible by law, this release shall extend to any entity through which Executive provided consulting services to Inlogic Ontario. Notwithstanding the above and to the extent applicable, Employer confirms that this Agreement continues Executive's employment with Inlogic Ontario on an uninterrupted basis.
Existing Employment Agreement. (a) During the Remaining Period, the Amended and Restated Employment Agreement, dated as of February 25, 2009, by and between Suburban Propane, L.P. and you (the “Existing Employment Agreement”) shall remain in full force and effect except that the parties agree as follows: (i) the parties waive any notice that may be applicable under Section 1 or Section 5.6 thereof in connection with the termination of the Existing Employment Agreement pursuant to Section 2(b) hereof; (ii) the execution and delivery of this Agreement shall not constitute either a “Non-Renewal Notice” or a termination for “Good Reason” or without “Cause” thereunder; (iii) during the Remaining Period, the Existing Employment Agreement shall not be terminated for “Good Reason” or without “Cause” and a “Non-Renewal Notice” shall not be given; and (iv) you may seek or discuss other opportunities not inconsistent with Section 7(a).
Existing Employment Agreement. The Existing Employment Agreement is hereby amended and restated in its entirety as set forth herein and, upon execution hereof, the terms of this Agreement shall supersede the terms of the Existing Employment Agreement; provided, however, that the execution of this Agreement shall not be deemed a termination of employment under the terms of the Existing Employment Agreement. Employee hereby releases and discharges the Company from any and all liabilities, claims, demands, causes of action, damages and judgments relating to or arising out of the Existing Employment Agreement and the terms thereof.
Existing Employment Agreement. The Existing Employment Agreement is hereby terminated in its entirety upon execution hereof.
Existing Employment Agreement. Employee acknowledges that any employment agreement or arrangement between Employee and the Company (“Existing Employment Agreement”) in effect immediately prior to the Effective Date, including, without limitation, the employment agreement between Employee and the Company, dated as of January 1, 2010, shall be terminated as of the Effective Date, and Employee hereby waives all rights he has under such Existing Employment Agreement, including, without limitation, any right to receive any bonus payment, severance payment or any right under any wage continuation provision, other than the right to receive unpaid base compensation earned through the Effective Date.
Existing Employment Agreement. For the avoidance of doubt, if the Executive experiences a Separation prior to January 1, 2015, the provisions of this Section 5 shall not apply with respect to such Separation, it being agreed that any severance benefits to which the 20 Executive is entitled will be determined in accordance with the Amended and Restated Executive Employment Agreement dated September 23, 2011 between the Executive and the Company (the “2011 Employment Agreement”).
