Modification, Amendment, Supplement, or Waiver. No modification, amendment, supplement to, or waiver of the Agreement or any of its provisions shall be effective and binding upon the Parties unless it is made in writing and duly signed by the Parties. A failure or delay of either Party to enforce any of the provisions hereof, to exercise any option which is herein provided, or to require performance of any of the provisions hereof shall in no way be construed to be a waiver of such provisions or options.

A waiver by Retailers of any of the terms and conditions of this Agreement must be in writing and, unless otherwise provided in that writing, such a waiver in any one instance shall not be deemed a waiver of such terms or conditions in the future, or of any subsequent breach thereof.

Subject to --------------------------------------------- ATTACHMENT CC AND SECTION 3.4 hereof, no modification, amendment, supplement to or waiver of this Agreement or any of its provisions shall be binding upon the parties hereto unless made in writing and duly signed by each party hereto. Any failure of any party hereto to comply with any obligation, covenant, agreement or condition herein may be waived in writing by the other party hereto, but such waiver or failure to insist upon strict compliance with such obligation, covenant, agreement or condition shall not operate as a waiver of, or estoppel with respect to, any subsequent or other failure.
Modification, Amendment, Supplement, or Waiver. 17.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all previous agreements, promises, representations, understandings, and negotiations, whether written or oral.

With the exception of the PCI Standards incorporated herein by reference, all modification, amendment, supplement to, or waiver of the Agreement or any of its provisions must be made in writing, in hard copy - paper form, and signed by hand by duly authorized representatives of both Parties.
