LAW AND FORUM. Any dispute related to or arising out of this Limited Warranty, including without limitation any question regarding its existence, validity, breach, or termination, shall be referred to and finally resolved pursuant to the governing law clauses and dispute resolution procedures under the purchase agreement between the original purchaser and Xxxxx. As a condition to any obligation of Xxxxx xxxxxxxxx, Jinko may require any Customer seeking to enforce this Limited Warranty to execute such additional agreements as may reasonably be required to enforce the terms of this Section 11.
LAW AND FORUM. LAW AND FORUM. Exclusive place of jurisdiction for any disputes arising from or in connection with the Agreement shall be Essen, Germany. This Agreement shall be governed by and construed under the laws of Germany excluding the UN-Convention on the International Sale of Goods.
LAW AND FORUM. If the Customer acquired this product in the United States, this XXXX is governed by the laws of the State of North Carolina. If the IP was acquired outside the United States, then Customer agrees and ascends to the adherence to all applicable international treaties regarding copyright and intellectual property rights which shall also apply. In addition, Customer agrees that any local law(s) to the benefit and protection of Xxxxx ownership of, and interest in, its intellectual property and right of recovery for damages thereto will also apply. Any legal proceeding related to this XXXX shall be conducted in the courts located in Wake County, North Carolina, United States.
LAW AND FORUM. This Agreement shall be deemed to have been entered into and fully performed in the State of Oregon and shall be governed by and construed in accordance with the laws of the State of Oregon without regard for the conflicts of laws rules thereof. Reseller agrees that all controversies, disputes and claims arising out of this Agreement shall be adjudicated exclusively by a court of competent jurisdiction within Washington County, State of Oregon or the United States District Court for the District of Oregon, except that any judgment in any such action may be enforced in other jurisdictions by suit or in any other permitted manner. Reseller irrevocably consents to the jurisdiction and venue of the state and federal courts in Washington County, Oregon and waives any rights to seek a transfer of venue for any reason or to claim that the forum is inconvenient.
LAW AND FORUM. The law that will apply in any dispute or lawsuit arising out of or in connection with this Agreement, and the courts that have jurisdiction over any such dispute or lawsuit, will depend on the location of Subscriber’s “Bill To” address provided on the initial Order Form.
LAW AND FORUM. This Agreement (and any and all amendments thereto) and its validity, construction and performance shall be governed in all respects by the laws of the State of New Jersey, without giving effect to principles of conflicts of law. Exclusive jurisdiction and venue for all matters relating to this Agreement shall be in the State of New Jersey, and the parties hereby agree and consent to such jurisdiction and venue.
LAW AND FORUM. This Agreement shall be construed and interpreted according to the internal laws of the State of New York, excluding any choice of law rules that may direct the application of the laws of another jurisdiction. The parties hereto agree that any suit, action or proceeding seeking to enforce any provision of, or based on any matter arising out of or in connection with, this Agreement or the matters contemplated hereby may only be brought in the United States District Court sitting in New York, New York (or, if jurisdiction is there lacking, in a state court of cognizant jurisdiction in New York, New York). Each of the parties hereby consents to the jurisdiction of such court (and of the appropriate appellate court therefrom) in any such suit, action or proceeding and irrevocably waives, to the fullest extent permitted by law, any objection that it may now or hereafter have to the laying of the venue of any such suit, action or proceeding in any such court or that any such suit, actions or proceeding that is brought in any such court has been brought in an inconvenient forum. Process in any such suit, action or proceeding may be served on any party anywhere in the world, whether within or without the jurisdiction of any such court.

Reseller agrees that all contro- versies, disputes, and claims arising out of this Agreement shall be adjudicated exclusively by a court of competent jurisdiction within Hampshire County or the United States District Court for the District of Massachusetts, except that any judgment in any such action may be enforced in other jurisdictions by suit or in any other permitted manner. Reseller irrevocably consents to the jurisdiction and venue of the state and federal courts of Massachusetts and waives any rights to seek a transfer of venue for any reason or to claim that the forum is inconvenient.
