Information Provided to Buyer. Seller shall not be liable to Buyer for claims of any nature arising out of the furnishing of advice by Seller’s agents, employees, or consultants in connection with the use, installation or design of products furnished by Seller. Xxxxx further acknowledges that statements made in brochures, advertisements, test reports, magazine articles or other sources of information or writings relating to the materials sold are furnished solely for the information of Buyer. Buyer shall make its own evaluation of all information provided. No statement relating to the materials sold, whether or not made or furnished by Seller, shall be deemed a warranty liability that shall be effective to modify the disclaimer of warranties or the limitations of Seller’s or representation relating to the materials except as set forth in a writing executed by an officer of Seller.

Information Provided to Buyer. The Company agrees that the information concerning the Company or any of its Subsidiaries that is provided or to be provided by the Company in writing to Buyer specifically for inclusion in the Registration Statement or Proxy Statement and any other documents to be filed with any Regulatory Authority in connection with the Contemplated Transactions will: (i) at the respective times such documents are filed and, in the case of the Registration Statement, when it becomes effective and, with respect to the Proxy Statement, when mailed, not be false or misleading with respect to any material fact, or omit to state any material fact necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading; or (ii) in the case of the Proxy Statement or any amendment thereof or supplement thereto, at the time of the Company Shareholders Meeting, not be false or misleading with respect to any material fact, or omit to state any material fact necessary to correct any statement in any earlier communication with respect to the solicitation of any proxy for the meeting in connection with which the Proxy Statement shall be mailed. The Company will have a duty to correct any material misleading statement specified by the Company for inclusion, and so included, in the Registration Statement or Proxy Statement and any other documents filed with any Regulatory Authority. Notwithstanding the foregoing, the Company shall have no responsibility for the truth or accuracy of any information with respect to Buyer or any of its Subsidiaries or any of their Affiliates contained in the Registration Statement or the Proxy Statement or in any document submitted to, or other communication with, any Regulatory Authority.

Information Provided to Buyer. To Seller's current actual knowledge, all documents delivered to or inspected by Buyer pursuant to the terms of this Agreement are either original counterparts or complete and true copies of such documents, and while Seller does not warrant the accuracy of any such information, Seller is aware of no material inaccuracy or omission therein or material misrepresentation of the matters purported to be contained therein. Nothing herein limits or restricts Buyer's obligation to independently verify the truth of any property information or other documents or materials provided by Seller, or limits the scope or effect of any "as is" provisions of this Agreement.
Information Provided to Buyer. Until such time as the Company is awarded a license by the State of Nevada, the Company shall report to the Buyer the weekly progress by no later than Tuesday of the following week. In the event that any issues arise which would preclude the Company from obtaining the required license the Company shall immediately notify the Buyer and the Company and Buyer shall evaluate what the proper course of action is in order to obtain the license. Beginning May 2014, the Company shall provide to Buyer, within five (5) days of the close of every calendar month. The Buyer, at Buyers sole cost and expense, shall have the right to audit the books and records of the Company upon five (5) days written notice to the Company.
Information Provided to Buyer. Bancorp and PCB Arizona shall comply with all reasonable requests to provide Buyer with information necessary to complete the requisite applications to be submitted to each relevant Regulatory Authority in respect of the Acquisition set forth in Section 6.1 of this Agreement. Bancorp and PCB Arizona agree that none of the information concerning PCB Arizona which is provided or to be provided to Buyer for inclusion or which is included in any documents to be filed with any Regulatory Authority in connection with the Acquisition will, at the respective times such documents are filed, be false or misleading with respect to any material fact or omit to state any material fact necessary in order to make the statements therein not misleading.
Information Provided to Buyer. Buyer understands and acknowledges that the Information which Buyer has received is not a prospectus, private placement memorandum, offering circular, offering statement or similar Information. Buyer understands that any Information that has been furnished to Buyer has been furnished only as part of an overall furnishing of information about the Company and that Buyer has viewed the Information with a critical frame of mind and, to the extent that information contained in any Information was deemed by Buyer to be important information in making an investment decision, Buyer has discussed such information with the officers and other personnel of the Company in order to form a better judgment regarding the accuracy and adequacy of such information. Buyer agrees that no statement in any Information, even if framed as a factual statement, will, of itself, constitute a factual representation by the Company in light of the various purposes for which any such Information may have been created or any such statement made.
