Independent Contractor; No Partnership. 22.1 The Parties are independent contractors. Save as expressly provided in the Contract and/or the Institution Contract(s) or by express agreement in writing between the Parties, nothing in the Contract and/or the Institution Contract(s) shall be deemed to constitute a partnership between the Parties or constitute any Party the employee, agent, partner or legal representative of the other Party for any purpose or otherwise entitle either Party to have any right, power or authority to create any obligation or responsibility of any kind, express or implied on behalf of the other. Further, the Parties agree that neither Party has the right to bind or commit the other Party for any purpose in any way whatsoever or control any activity of the other Party outside the terms of the Contract and/or the Institution Contract(s).

Nothing herein contained shall make, or be construed to make, SMG or Provider a partner of one another, nor shall this Agreement be construed to create a partnership, joint venture, or any other relationship between and of the Parties.

Independent Contractor; No Partnership. (a) Seller shall, in its sole discretion, select the Seller employees to provide services hereunder on a basis consistent with Seller’s past practice, and such individuals shall not be deemed to be employees of Buyer. All work performed hereunder by Seller shall be performed by Seller as an independent contractor.
Independent Contractor; No Partnership. (a) All work performed hereunder by Xxxxxxx Xxxxx shall be performed by Xxxxxxx Xxxxx as an independent contractor. All work performed hereunder by BlackRock shall be performed by BlackRock as an independent contractor.
Independent Contractor; No Partnership. Developer, in accordance with its status as independent contractor, covenants and agrees that it will conduct itself consistent with such status, that it will neither hold itself out as nor claim to be an officer or employee of any of the Owners by reason hereof. No provision of this Agreement shall be construed as creating a partnership or any other formal business association, or authorizing one party to act as an agent of another party except to the extent specifically set forth herein.

Nothing in this Agreement is intended to or shall be deemed to establish any partnership or joint venture between any of the parties, constitute any party as an agent for the other party or authorise any party to make or enter into any commitments for or on behalf of any other party.

Moreover, the University it nor its employees shall be considered employees, partners or agents of the City, nor shall it or its employees be entitled to any benefits, insurance, pension, or workers’ compensation as an employee of the City.

Nothing herein contained shall make, or be construed to make, ASM or Licensee a partner of one another, nor shall this Agreement be construed to create a partnership or joint venture between and of the parties hereto or referred to herein.
