Common use of Independent Contractor; No Partnership Clause in Contracts

Independent Contractor; No Partnership. The Institution and the Contractor are independent contractors. Save as expressly provided in the Agreement or by express agreement in writing between the Parties, nothing in the Agreement shall be deemed to constitute a partnership between the Parties or constitute any Party the employee, agent, partner or legal representative of the other Party for any purpose or otherwise entitle any Party to have any right, power or authority to create any obligation or responsibility of any kind, express or implied on behalf of the other. Further, the Parties agree that no Party has the right to bind or commit the other Party for any purpose in any way whatsoever or control any activity of the other Party outside the terms of the Agreement.
