Common use of Independent Contractor; No Partnership Clause in Contracts

Independent Contractor; No Partnership. 23.1. The Parties are independent contractors. Save as expressly provided in the Master Contract or by express agreement in writing between the Parties, nothing in the Master Contract shall be deemed to constitute a partnership between the Parties or constitute any Party the employee, agent, partner or legal representative of the other Party for any purpose or otherwise entitle either Party to have any right, power or authority to create any obligation or responsibility of any kind, express or implied on behalf of the other. Further, the Parties agree that neither Party has the right to bind or commit the other Party for any purpose in any way whatsoever or control any activity of the other Party outside the terms of the Master Contract.
