For these services, SSC charges VCS either 1% of the first cost of the imported merchandise or a fixed cost per item depending on the type of merchandise. *11. REAL ESTATE MANAGEMENT FEES. Schottenstein Management Co., ("SMC"), an affiliate of SSC, may from time to time provide real estate management services for certain of the properties leased by Value City. The services to be provided involve the collection of subtenant rents, maintenance of common areas and other services typically performed by a real estate management company. VCS shall pay to SMC a fee equal to 7% of gross subtenant rents billed by SMC. In addition, SMC shall provide to VCS, at no additional charge, real estate brokerage services to market existing vacant space and any rentable space that should become available.

The goal of the importing process is to put all metadata into a **** and to scan through all media and image files to look for file information such as duration, bitrate and image size and corrupt data. This step includes retrieving metadata, media files and images through the means agreed on with the content provider. When new and updated data has been received, the actual importing begins. A relational database with a data model as close to the provider’s metadata format as possible is filled with new or updated data. Media and image information (filenames, bitrates, durations, image sizes) is also written to this database.

The Council shall establish criteria regarding a change by a mem- ber in its category of membership as defined in paragraph 1 of this arti- cle, taking fully into account the provisions of articles 24 and 27. In the event any Product is manufactured by or for Supplier at any location outside the U.S., Supplier shall ensure that all such Product (a) are imported into the U.S. in compliance with all applicable laws, (b) meet all the requirements of the U.S. Customs and Border Protection and (c) if applicable, remain held intact and not distributed until the FDA has issued a “may proceed” notice or other substantially similar release. The parties agree, and Supplier acknowledges, that Supplier shall be the initial importer/distributor for all Product manufactured at any location outside the U.S.
