Fulfillment of Duties. During the Term of this Agreement, Executive shall (i) devote his full business time and best efforts to the performance of his services hereunder, excluding vacation periods and periods of illness or incapacity, and (ii) perform his services hereunder faithfully, diligently and to the best of his skill and ability.
Fulfillment of Duties. As long as the Company sustains and --------------------- continues Xxxxxxx'x position and designation as Chairman and Chief Executive Officer of the Company, Xxxxxxx shall (i) devote his full-time efforts during normal business hours to the performance of his services hereunder, except during vacation periods and periods of illness or incapacity and except that nothing in this Agreement shall preclude Xxxxxxx from devoting reasonable periods required for serving as a director, or member of a committee of, or holding other positions, in any organization involving no conflict of interest with the interests of the Company and (ii) perform his services hereunder faithfully, diligently and to the best of his skill and ability.
Fulfillment of Duties. The Employee agrees to devote such productive time, ability, and attention to the business of the Employer during the term of this Agreement as may be required for the efficient performance of his duties set forth in Section 1.01

As long as the Company sustains and continues Executive's position and designation as Senior Vice President and Chief Financial Officer of the Company, Executive shall (i) devote his full-time efforts during normal business hours to the performance of his services hereunder, except during vacation periods and periods of illness or incapacity, except that nothing in this Agreement shall preclude Executive from devoting reasonable periods required for serving as a director, or member of a committee of, or holding other positions, in any organization involving no conflict of interest with the interests of the Company and (ii) perform his services hereunder faithfully, diligently and to the best of his skill and ability.
Fulfillment of Duties. Ross shall devote his full-time efforts to --------------------- the performance of his services hereunder, except during vacation periods and periods of illness or incapacity, and shall perform his services hereunder faithfully, diligently and to the best of his skill and ability. If Ross desires to serve as a director, or member of a committee of, any organization involving no conflict of interest with the interests of the Company, he shall first obtain the written consent of the Company's Chief Executive Officer.
Fulfillment of Duties. As long as the Company sustains and --------------------- continues the Executive's position and designation as set forth in SECTION 1 hereof, the Executive shall (i) devote his full-time efforts during normal business hours to the performance of his services hereunder, except during vacation periods and periods of illness or incapacity and except that nothing in this Agreement shall preclude the Executive from devoting reasonable periods required for serving as a director of, or member of a committee of, or holding other positions in, any organization involving no conflict of interest with the interests of the Company and (ii) perform his services hereunder faithfully, diligently and to the best of his skill and ability.
Fulfillment of Duties. The Housestaff Physician xxxxxx agrees to accept and fulfill assignments that may be reasonably assigned him/her, to devote his/her full time to his/her employment hereunder, and to abide and be governed by all laws, rules and regulations of the Board, the Hospital and its medical staff.
Fulfillment of Duties. During the Term of this Agreement, Executive shall (i) devote his full business time and best efforts to the performance of his services hereunder, excluding vacation periods and periods of illness or incapacity, and (ii) perform his services hereunder faithfully, diligently and to the best of his skill and ability. Such services shall include, without limitation (a) implementation and supervision of the Company’s ethics and compliance program (including internal investigations), (b) supervision of the Export Controls/Trade Compliance Department, (c) supervision of the Internal Audit Department, (d) managing the Company’s compliance with the Foreign Corrupt Practices Act, (e) continued engagement in all aspects and phases of mergers and acquisitions, and (f) risk mitigation and compliance integration. Executive shall have authority to engage outside counsel as needed on matters falling within the scope of these responsibilities.
Fulfillment of Duties. The Senior Graduate Representative shall fulfill all duties as outlined by this Contract. Failure to do to so shall result in dismissal from the Representation Contract and will constitute a material breach of this Contract. Upon dismissal after such breach, the Senior Graduate Representative shall be required to reimburse the Photographer for the full senior session fee of $450.
Fulfillment of Duties. During the Term of this Agreement, Executive shall (i) devote his full business time and best efforts to the performance of his services hereunder, excluding vacation periods and periods of illness or incapacity, except that nothing in this Agreement shall preclude Executive from devoting reasonable periods required for serving as a director of Offshore Logistics, Inc., provided that such position does not involve any conflict of interest with the interests of the Company or interfere with the performance of Executive’s duties hereunder, and (ii) perform his services hereunder faithfully, diligently and to the best of his skill and ability.
