Forum and Governing Law. The validity, construction and performance of this Agreement shall be governed by the laws of the State of Utah without regard to its conflicts of law provisions. The parties hereto expressly recognize and agree that the implementation of this Section (15) is essential in light of the fact that Qualtrics has its corporate headquarters and its principal executive offices within the State of Utah. The federal or state courts in Salt Lake County, Utah shall have exclusive jurisdiction over any suit arising from or relating to Employee’s employment with, or termination from, Qualtrics, or arising from or relating to this Agreement. Employee consents to such venue and personal jurisdiction.

Forum and Governing Law. In the event that any action will be brought in equity to enforce the provisions of this Agreement, no Party will allege, and each Party hereby waives the defense, that there is an adequate remedy at law.   • Arbitration and Governing Law If a dispute arises out of or relates to this contract, or the breach thereof, and if the dispute cannot be settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration, litigation, or some other dispute resolution procedure.
