Failure To Provide Support. This insurance does not apply to any actual or alleged Financial Injury arising out of or connected directly or indirectly with any actual, alleged or threatened decision by any Insured not to provide or support or to cease to provide or support on their product or service provided by them.

Failure To Provide Support. A123's material failure to provide SUPPORT as required in Article 4 (Learning Support) will be deemed a material breach under Paragraph 13.2.2 (Material Breach), subject, without limitation, to the resource constraints identified in this Section 4. Notwithstanding anything to the contrary in this AGREEMENT, if A123 fails to cure such breach per Paragraph 13.2.2 (Material Breach) and XXXXXXXX exercises its right to terminate under Paragraph 13.2.2 (Material Breach) within [**] after the expiration of the LEARNING PHASE, then A123 will refund to XXXXXXXX all fees and ROYALTIES under Paragraphs 5.1 (Consideration for Grant of Rights) and 5.2 (Consideration for Support) and their subparagraphs, paid by XXXXXXXX from the EFFECTIVE DATE to XXXXXXXX'x notice of termination. Such refund will be made within [**] of the XXXXXXXX notice of termination. Notwithstanding the foregoing, if there is a dispute between the PARTIES as to whether or not A123 in fact materially failed to provide support as required in Article 4 (Learning Support), then the dispute will be resolved in accordance with the procedures set forth in Article 14 (Dispute Resolution). XXXXXXXX will use good faith efforts to notify A123 promptly of any dissatisfaction of XXXXXXXX with A123's provision of SUPPORT.
Failure To Provide Support. The Postpartum Doula will make every effort to be with the Client at the scheduled times. If she is not able to come due to sickness or other emergencies (including attending another birth as a Birth/Labor Doula if she is on call.) The Client(s) will be informed in advance if there is an overlap and the Postpartum Doula is on call for another family as a Birth/Labor Doula and the Postpartum Doula will provide support on another day, or provide a backup caregiver for that particular day if possible.

  • Failure to Provide Insurance Lessee acknowledges that any failure on its part to obtain or maintain the insurance required herein will expose Lessor to risks and potentially cause Lessor to incur costs not contemplated by this Lease, the extent of which will be extremely difficult to ascertain. Accordingly, for any month or portion thereof that Lessee does not maintain the required insurance and/or does not provide Lessor with the required binders or certificates evidencing the existence of the required insurance, the Base Rent shall be automatically increased, without any requirement for notice to Lessee, by an amount equal to 10% of the then existing Base Rent or $100, whichever is greater. The parties agree that such increase in Base Rent represents fair and reasonable compensation for the additional risk/costs that Lessor will incur by reason of Lessee's failure to maintain the required insurance. Such increase in Base Rent shall in no event constitute a waiver of Lessee's Default or Breach with respect to the failure to maintain such insurance, prevent the exercise of any of the other rights and remedies granted hereunder, nor relieve Lessee of its obligation to maintain the insurance specified in this Lease.

  • Obligation to Provide Information Each party’s obligation to provide information shall be as follows:
