EXTENSION OF THE SUBSCRIPTION LONG STOP DATE FOR THE SUBSCRIPTIONS. In view of the additional time required to satisfy the conditions precedent under the ML Subscription Agreement and the FG Subscription Agreement, on 27 April 2016, each of the parties to the ML Subscription Agreement (as supplemented by the supplemental agreement dated 23 March 2016) and the FG Subscription Agreement (as supplemented by the supplemental agreement dated 23 March 2016) agreed and entered into supplemental agreements to the ML Subscription Agreement and the FG Subscription Agreement extending the time to satisfy the conditions precedent to 30 June 2016 respectively thereunder. Save for the extension of the Long Stop Date, all the terms and conditions under the ML Subscription Agreement and the FG Subscription Agreement remain the same. Shareholders and potential investors should note that the Agreements, the Placing Agreement, the Subscription Agreements are subject to the fulfilment of the conditions precedent and should exercise caution when dealing in the Shares.   • ADDITIONAL USER SUBSCRIPTIONS 3.1 Subject to clause 3.2 and clause 3.3, the Customer may, from time to time during any Subscription Term, purchase additional User Subscriptions in excess of the number set out in paragraph 1 of Schedule 1 and the Supplier shall grant access to the Services and the Documentation to such additional Authorised Users in accordance with the provisions of this agreement.

  • Subscription Period 5.1.1 The Subscription Period is binding upon both EFI and the Customer, meaning the Customer cannot terminate the Service, the Customer Care and this SAAS Agreement during a Subscription Period. Not- withstanding the above, the Customer can terminate the Subscription due to a material breach of EFI, cf. Section 10.5, or if a material change to the terms and conditions of the SAAS Agreement comes into force, cf. Section 14.5, and if the Customer is not in breach of the SAAS Agreement, EFI will refund a pro-rata portion of the Subscription Fees for the remaining un-used period of the Service and Customer Care.

  • Term of Purchased Subscriptions The term of each subscription shall be as specified in the applicable Order Form. Except as otherwise specified in an Order Form, subscriptions will automatically renew for additional periods equal to the expiring subscription term or one year (whichever is shorter), unless either party gives the other notice of non-renewal at least 30 days before the end of the relevant subscription term. The per-unit pricing during any renewal term will increase by up to 7% above the applicable pricing in the prior term, unless Xxxxxx provides Customer notice of different pricing at least 60 days prior to the applicable renewal term. Except as expressly provided in the applicable Order Form, renewal of promotional or one-time priced subscriptions will be at Xxxxxx’x applicable list price in effect at the time of the applicable renewal. Notwithstanding anything to the contrary, any renewal in which subscription volume for any Services has decreased from the prior term will result in repricing at renewal without regard to the prior term’s per-unit pricing.

  • Software Subscription The Term of any Software Subscription shall automatically renew for an additional Subscription License Term unless written notice of termination is given to the other Party three (3) months prior to the expiration of the then-current Term.

  • Subscription Term The transfer of Software Subscription(s) to Cloud Access does not change the start date or the duration of the original Software Subscription(s) and once your Software Subscription expires, your access to the Software Subscription in the Vendor’s Cloud will cease, unless otherwise renewed. You may renew your Software Subscription with Red Hat directly or an authorized partner.

  • Term of Subscriptions The Initial Subscription of each Subscription is set out on the relevant Order Form and starts on the earlier of: (a) the date a User first accesses the Service; or (b) the start date set out on the relevant Order Form. SUBSCRIPTIONS AUTOMATICALLY RENEW FOR A FURTHER 12-MONTH PERIOD (A RENEWAL) UNLESS EITHER PARTY HAS GIVEN THE OTHER NOT LESS THAN 60 CALENDAR DAYS’ NOTICE PRIOR TO ITS EXPIRY TO CANCEL IT ON EXPIRY. If Renewed before expiry any increase in Fees will be limited to the then rate of the UK Consumer Price Index plus 5% (unless We provide you, either directly or through a Reseller, with notice of a different increase at least 90 days’ prior to the Renewal date). This restriction will not: (a) limit any increase caused by changes in the number or type of Subscriptions; or (b) apply to a Subscription Renewed after its expiry. We do not commit to offering promotional discounts on Renewals. If you look to reduce your Subscriptions, or the length of your Renewal from those during the immediately prior Initial Subscription or Renewal (as applicable), this may result in re-pricing without regard to your current per-Subscription pricing. Notices may be given by Us by email or electronically submitted invoice or notice.

  • Subscription Fees Licensee agrees to pay all Subscription Fees. Xxxxxx Xxx may increase or decrease such charges from time to time and Licensee agrees to pay any such adjusted charges; provided that the adjustment shall be communicated to Licensee in writing (a) on or before its effective date with respect to fees which constitute pass-through charges from Third- Party Licensors or other vendors, and (b) at least twenty (20) days before its effective date with respect to all other charges. Licensee’s continued use of the applicable Licensed Application(s) shall be deemed to be Licensee’s acceptance of any such adjustments.
