Excess Throughput Fee. Within thirty (30) days after the end of each quarter of each Contract Year, Seller shall notify Buyer in writing of the Quarterly Excess Barge Throughput, Quarterly Excess Pipeline Throughput, Quarterly Excess Rail Throughput, and Quarterly Excess Truck Throughput, each with respect to such quarter of such Contract Year and the corresponding Quarterly Excess Throughput Fee for such quarter of such Contract Year. Reasonable documentation evidencing such quantities of quarterly excess throughput shall be provided to Buyer by Seller within such period following the end of such quarter within such Contract Year. Within thirty (30) days after notice from Seller of such quantities of quarterly excess throughput for such quarter, Buyer shall pay Seller an amount equal to the Quarterly Excess Throughput Fee. Within thirty (30) days after the end of each Contract Year, Seller shall determine, and notify Buyer with respect to, the Excess Barge Throughput, Excess Pipeline Throughput, Excess Rail Throughput, and Excess Truck Throughput for such Contract Year and the corresponding Excess Throughput Fee for such Contract Year. To the extent that the Excess Throughput Fee for any Contract Year does not equal the sum of the Quarterly Excess Throughput Fee for each such quarter of such Contract Year (such difference in fees, the "Fee Difference"'), the Party possessing the Fee Difference promptly shall pay such Fee Difference to the other Party.
Excess Throughput Fee. For volume of MPC’s Products (excluding Transmix) redelivered hereunder in excess of the Minimum Quarterly Terminal Volume Commitment, the excess throughput fee for each corresponding Terminal set forth on Schedule 5.1 (each an “Excess Throughput Fee”) shall apply. Excess Throughput Fee. Lessee shall also pay to Lessor a fee of *** and No/l00 Dollars ($***) per ton (the "Excess Throughput Fee") of base asphalt product which is handled, produced, sold or delivered from the Leased Premises by Lessee with respect to each Facility that is in excess of the quantity of base asphalt product for such Facility set forth on Exhibit B-1 hereto (the "Excess Throughput Quantity"). Excess Throughput Fees shall accrue annually (from the first day of each Contract Year though the last day of each Contract Year), and shall be due on or before the thirtieth (30th) day following the end of each Contract Year. Excess Throughput Fees shall be subject to audit by Lessor. For purposes of this Agreement, "Contract Year" means a period of 365 consecutive days commencing on the Effective Date and each successive period of 365 consecutive days during the Term of this Agreement with the exception of any Contract Year in which February has 29 days when the period will be 366 consecutive days.
Excess Throughput Fee in consideration of the Lessee’s throughput of products, the Lessee shall have at no extra cost a throughput allowance equal to one Tank Turn allocated to the Lessee per month. If the Lessee exceeds this allowance, the Lessee shall pay to the Lessor, Excess Throughput Charges in respect of the excess above the Volume Commitment delivered or redelivered at a rate in per cubic meter of the volume of the product handled per each import/export. Excess Throughput Charges will be reviewed and may be adjusted annually by the Operator. The Lessee shall pay the Lessor all due amounts pertaining to the Excess Throughput Fees within 14 calendar days as of receiving the Lessor’s Invoice at the end of each calendar month.

  • Minimum Monthly Rent 3.1.1 Tenant agrees to pay to Landlord a Minimum Monthly Rent, initially in the amount set forth in the Basic Provisions, during each month of the Term of this Lease. Minimum Monthly Rent for a period constituting less than a full month shall be prorated on the basis of a thirty (30)-day month.

  • Excess TI Costs Landlord shall have no obligation to bear any portion of the cost of any of the Tenant Improvements except to the extent of the TI Allowance. If at any time the remaining TI Costs under the Budget exceed the remaining unexpended TI Allowance, Tenant shall deposit with Landlord, as a condition precedent to Landlord’s obligation to complete the Tenant Improvements, 100% of the then current TI Cost in excess of the remaining TI Allowance (“Excess TI Costs”). If Tenant fails to deposit any Excess TI Costs with Landlord, Landlord shall have all of the rights and remedies set forth in the Lease for nonpayment of Rent (including, but not limited to, the right to interest at the Default Rate and the right to assess a late charge). For purposes of any litigation instituted with regard to such amounts, those amounts will be deemed Rent under the Lease. The TI Allowance and Excess TI Costs are herein referred to as the “TI Fund.” Funds deposited by Tenant shall be the first disbursed to pay TI Costs. Notwithstanding anything to the contrary set forth in this Section 5(d), Tenant shall be fully and solely liable for TI Costs and the cost of Minor Variations in excess of the TI Allowance. If upon completion of the Tenant Improvements and the payment of all sums due in connection therewith there remains any undisbursed portion of the TI Fund, Tenant shall be entitled to such undisbursed TI Fund solely to the extent of any Excess TI Costs deposit Tenant has actually made with Landlord.

  • Maximum Charges In no event whatsoever shall interest and other charges charged hereunder exceed the highest rate permissible under law. In the event interest and other charges as computed hereunder would otherwise exceed the highest rate permitted under law, such excess amount shall be first applied to any unpaid principal balance owed by Borrowers, and if the then remaining excess amount is greater than the previously unpaid principal balance, Lenders shall promptly refund such excess amount to Borrowers and the provisions hereof shall be deemed amended to provide for such permissible rate.

  • Over-Allowance Amount On the Cost Proposal Delivery Date, Landlord shall identify the amount (the "Over-Allowance Amount") equal to the difference between (i) the amount of the Cost Proposal and (ii) the amount of the Improvement Allowance. Subject to the terms of Section 2.3 of this Work Letter Agreement, the Over-Allowance Amount shall be delivered from Tenant to Landlord (on a pro-rata basis, based upon the percentage of the Tenant Improvements completed) within fifteen (15) days of Tenant's receipt of an invoice for such portion of the Over-Allowance Amount. In the event that, after the Cost Proposal Delivery Date, any revisions, changes, or substitutions shall be made to the Construction Drawings or the Improvements as the result of (i) a ratified Tenant Change, or (ii) a change requested by Landlord and reasonably approved by Tenant, then, subject to the terms of Section 2.3 of this Work Letter Agreement, any additional costs which arise in connection with such revisions, changes or substitutions or any other additional costs shall be paid by Tenant to Landlord immediately upon Landlord's request as an addition to the Over-Allowance Amount. Subject to the terms of Section 2.3 of this Work Letter Agreement, in the event that Tenant fails to deliver the Over-Allowance Amount as provided in this Section 4.3.1, then Landlord may, at its option, cease work in the Premises until such time as Landlord receives payment of the Over-Allowance Amount (and such failure to deliver shall be treated as a Tenant delay in accordance with the terms of Section 5.2 below).

  • Distribution Assistance Fees (Asset-Based Sales Charge) Payments In its sole discretion and irrespective of whichever alternative method of making service fee payments to Recipients is selected by the Distributor, in addition the Distributor may make distribution assistance fee payments to a Recipient quarterly, or at such other interval as deemed appropriate by the Distributor, within forty-five (45) days after the end of each calendar quarter or other period, at a rate not to exceed 0.1875% (0.75% on an annual basis) of the average during the period of the aggregate net asset value of Shares computed as of the close of each business day constituting Qualified Holdings owned beneficially or of record by the Recipient or its Customers until such Shares are redeemed or converted to another class of shares of the Fund, provided, however, that a majority of the Independent Trustees may, but are not obligated to, set a time period (the "Recipient Maximum Holding Period") for making such payments. Distribution assistance fee payments shall be made only to Recipients that are registered with the SEC as a broker-dealer or are exempt from registration. The distribution assistance to be rendered by the Recipients in connection with the sale of Shares may include, but shall not be limited to, the following: distributing sales literature and prospectuses other than those furnished to current Shareholders, providing compensation to and paying expenses of personnel of the Recipient who support the distribution of Shares by the Recipient, and providing such other information and services in connection with the distribution of Shares as the Distributor or the Fund may reasonably request.

  • Excess Rent Tenant shall pay Landlord on the first day of each month during the term of the sublease or assignment, fifty percent (50%) of the amount by which the sum of all rent and other consideration (direct or indirect) due from the subtenant or assignee for such month exceeds: (i) that portion of the Monthly Base Rent and Rent Adjustments due under this Lease for said month which is allocable to the space sublet or assigned; and (ii) the following costs and expenses for the subletting or assignment of such space: (1) brokerage commissions and attorneys’ fees and expenses, (2) the actual costs paid in making any improvements or substitutions in the Premises required by any sublease or assignment; and (3) “free rent” periods, costs of any inducements or concessions given to subtenant or assignee, moving costs, and other amounts in respect of such subtenant’s or assignee’s other leases or occupancy arrangements. All such costs and expenses shall be amortized over the term of the sublease or assignment pursuant to sound accounting principles.

  • Monthly Fee Programmer will pay Licensee for the broadcast of the programs hereunder a fee each month as described in more detail in Appendix A to this Agreement (the "Monthly Fee"). The Monthly Fee will be payable on the first day of each calendar month during the Term, to Clearly Superior Radio, L.L.C., 0000 Xxxxx Xxxxx Xxxxxx, Xxx Xxxxxxxxx Xxxxxx, Xxxxxx, Xxxxxxxx 00000, or to such other address as Licensee may designate in writing.   • Utilization Fee If the aggregate outstanding amount of (i) all Revolving Credit Advances hereunder and (ii) all "Revolving Credit Advances" under (and as defined in) the Three-Year Agreement exceeds thirty-three percent (33%) of the aggregate amount of (x) all Commitments hereunder and (y) all "Commitments" under (and as defined in) the Three-Year Agreement then in effect on such date (or, if any of the Commitments or "Commitments" have been terminated, the aggregate amount of all Commitments and "Commitments" in effect immediately prior to such termination), the Borrower will pay to the Agent for the ratable benefit of the Lenders a utilization fee (the "Utilization Fee") at a per annum rate equal to the Applicable Utilization Fee Rate in effect from time to time payable on the aggregate outstanding amount of all Revolving Credit Advances on such date, payable in arrears quarterly on the last day of each March, June, September and December, and on the Revolver Termination Date.

  • Operating Expense Payments Landlord shall deliver to Tenant a written estimate of Operating Expenses for each calendar year during the Term (the “Annual Estimate”), which may be revised by Landlord from time to time during such calendar year. During each month of the Term, on the same date that Base Rent is due, Tenant shall pay Landlord an amount equal to 1/12th of Tenant’s Share of the Annual Estimate. Payments for any fractional calendar month shall be prorated.
