Employment of Employee and Duties. The Company hereby hires Employee and Employee hereby accepts employment upon the terms and conditions described in this Agreement. The Employee shall be the Chief Executive Officer of the Company, with the responsibility for the day-to-day management of the Company's operations. Subject to (a) the general supervision of the board of directors of the Company (the "Board of Directors"), and (b) the Employee's duty to report to the Board of Directors periodically, as specified by them from time-to-time, Employee shall have all of the authority to perform his employment duties for the Company.

The Employee will be the Chief Technical Officer of the Company with all of the duties, privileges and authorities usually attendant upon such office, including but not limited to responsibility for the day-to-day oversight of the Company’s technical operations. Subject to (a) the general supervision of the Chief Executive Officer, and (b) the Employee’s duty to report to the Chief Executive Officer and to follow Company directives and policies, Employee will have all of the authority to perform his employment duties for the Company.

The Employee will be the Chairman, Chief Executive Officer, and President of the Company with all of the duties, privileges and authorities usually attendant upon such office, including but not limited to responsibility for the day-to-day management and oversight of the Company and its subsidiaries. Subject to (a) the general supervision of the Board of Directors of the Company, and (b) the Employee’s duty to report to the Board of Directors periodically and to follow its directives and policies, Employee will have all of the authority to perform his employment duties for the Company.

The Employee shall be the Chief Financial Officer of the Company with all of the duties, privileges and authorities usually attendant upon such office, including but not limited to overall supervision of the management of the Company’s operations. Subject to (a) the general supervision of the Chief Executive Officer and (Board of Directors) of the Company, and (b) the Employee’s duty to report to the Board of Directors periodically, as specified by it from time-to-time, Employee shall have all of the authority and discretion in the conduct of the Company’s operations that can lawfully be delegated by the Board of Directors.

The Employee will initially serve as the President of Advanced Tel, Inc., a wholly owned subsidiary of InterMetro Communications, Inc., a California corporation (“InterMetro”), with all of the duties, privileges and authorities usually attendant upon such office, including but not limited to responsibility for the day-to-day supervision and management of the operation of the Company. Subject only to Employee’s right to perform his duties for Company from Orange County, the Chief Executive Officer may, at his/her sole discretion, modify Employee’s title, duties, privileges and authorities at any time after execution of this Agreement. Subject to (a) the general supervision of the Board of Directors and the Chief Executive Officer of the Company, and (b) the Employee’s duty to report to the Board of Directors and the Chief Executive Officer periodically, as specified by the Chief Executive Officer from time-to-time, Employee will have all of the authority to perform his employment duties for the Company. A change in Employee’s title with the Company or to his duties, privileges, or authorities shall not be a breach of any provision of this Agreement.

The Employee shall be the Secretary and Vice-President of the Company with all of the duties, privileges and authorities usually attendant upon such office, including but not limited to responsibility for the management of the Company's books and records, the keeping of corporate minutes, the preparation of the Company's reports under the Securities and Exchange Act of 1934, as amended, the supervision of the administration of the Company, and assisting the President of the Company in managing its day-to-day business. Subject to (a) the general supervision of the President and the Board of Directors of the Company, and (b) the Employee's duty to report to the President and the Board of Directors periodically, as specified by them from time-to-time, Employee shall have the authority to perform his employment duties for the Company.

During the period from November 1, 2010 to present, the Company acknowledges that the Employee was providing services to the Company as a Chief Financial Officer. Commencing on August 10, 2011, the Employee shall be named Chief Financial Officer of the Company with all of the duties, privileges and authorities usually attendant upon such office, including but not limited to responsibility for the day-to-day management of the Company’s financial and accounting operations. Subject to (a) the general supervision by the Chief Executive Officer and the Board of Directors, and (b) the Employee's duty to report to the Chief Executive Officer and the Board of Directors periodically, as specified by them from time-to-time, Employee shall have all of the authority to perform his employment duties for the Company.
Employment of Employee and Duties. Employer hereby hires Employee and Employee hereby accepts employment upon the terms and conditions described herein. Employee shall be Co-Chairman of the Board and Co-Chief Executive Officer of Employer. Employee's duties shall include responsibility for and supervision of all of Employer's activities and projects with respect to television and motion picture production and distribution and such other activities and duties as Employer may reasonably require from time to time. Employee shall be the most senior executive of Employer along with Petex Xxxxx (xx long as he shall be so employed), and Employee shall report solely to the Board of Directors of Employer (the "Board"). During the Term, Employee shall be elected as a director of Employer and each subsidiary thereof, and, if there is an Executive Committee, then as a member thereof. Employee agrees to use his best efforts to promote and further the reputation and good name of Employer and Employee shall promptly and faithfully comply with all instructions, directions, requests, rules and regulations made or issued by the Board of Directors from time to time.

During the period from August 11, 2011 to December 31, 2015, the Employee was the President and Chief Executive Officer and Secretary of the Company. Commencing on January 1, 2016, the Employee shall continue as the President and Chief Executive Officer and Corporate Secretary of the Company with all of the duties, privileges and authorities usually attendant upon such offices, including but not limited to responsibility for the day-to-day management of the Company's operations. Subject to (a) the general supervision of the Board of Directors, and (b) the Employee's duty to report to the Board of Directors periodically, as specified by them from time-to-time, Employee shall have all of the authority to perform his employment duties for the Company. During the term of this Agreement, Employee shall also be a member of the Company's Board of Directors.
