At SpinCo’s request and at SpinCo’s cost and expense, unless the filing of such amended Tax Return would reduce any Distributing Tax Attribute or would reasonably be expected to result in an adverse Tax consequence to any member of the Distributing Group, Distributing shall file, or cause to be filed, amended Tax Returns for any Pre-Distribution Periods (which Tax Returns shall be prepared in a manner consistent with Section 3.4). At Distributing’s request, and at Distributing’s cost and expense, unless the filing of such amended Tax Return would reduce any SpinCo Tax Attribute or would reasonably be expected to result in an adverse Tax consequence to any member of the SpinCo Group, SpinCo shall file, or cause to be filed amended Tax Returns for any Pre-Distribution Periods (which Tax Returns shall be prepared in a manner consistent with Section 3.5).
Distributing. Materials shall be distributed and placed so as to least interfere with traffic. No street or roadway may be closed without first obtaining permission of the proper authorities. The Contractor shall furnish and maintain proper warning signs and obstruction lights for the protection of traffic along highways, streets and roadways upon which material is distributed. No distributed materials shall be placed in drainage ditches.

Distributing. When an end-user, using the Solero Viewer, purchases an Audio Product, Solero Product, or Scanned Product, Sunhawk shall allow the end-user to view, use, manipulate, transpose, display, preview, print, play, and store the entire Audio Product, Solero Product, or Scanned Product.
