Dispute Resolution 11. 1. The Parties undertake to resolve any differences occurring during the fulfilment or interpretation of this Agreement on a friendly basis. In the event of any controversy or claim arising out of or relating to this Agreement, including any such controversy or claim involving any Party’s affiliate but excluding any dispute or disagreement regarding the breach of any confidentiality or intellectual property provision (a ovlivňoval, a dále potvrzují, že jejich plnění dle této smlouvy není porušením žádné jiné smlouvy uzavřené se třetí osobou. Zdravotnické zařízení a zkoušející se zavazují, že k poskytování služeb týkajících se studie vyberou pouze vhodné pracovníky (včetně spoluzkoušejících). Zdravotnické zařízení nebude k poskytování služeb na základě této smlouvy přímo ani nepřímo zaměstnávat žádné osoby, neuzavře s nimi smlouvu ani jich k tomuto účelu nebude jinak využívat, pokud takové osobě (i) byl jakýmkoli regulačním orgánem (včetně FDA) uložen zákaz provádění klinického výzkumu či práce ve farmaceutických nebo biotechnologických společnostech či poskytování služeb těmto společnostem, či je uložení takového zákazu zvažováno, nebo (ii) byla odsouzena, anebo probíhá trestní stíhání či je zvažováno odsouzení za chybný lékařský postup v souvislosti s prováděním klinických zkoušek. Na písemnou žádost společnosti J&J je zdravotnické zařízení povinno do deseti (10) dnů předložit písemné potvrzení, že výše uvedenou povinnost dodrželo. Toto potvrzení a záruky v něm obsažené musí zůstat v platnosti po celou dobu platnosti této smlouvy a zdravotnické zařízení je povinno společnost J&J neprodleně vyrozumět o jakýchkoli změnách týkajících se prohlášení a záruky dle tohoto článku 10.3. 11.
Dispute Resolution 11. 14.1 Unless otherwise provided by Law, any and all disputes or controversies arising under this French Asset Purchase Agreement ("Dispute") shall be referred to and finally settled through Arbitration to be administrated by the ICC, according to the Rules in force on the date of the request for arbitration, except for any changes set forth herein, or by mutual agreement by the Parties. The Rules' provisions related to the emergency arbitrator shall not apply. 11.14.2 The arbitral tribunal shall be conducted by three independent arbitrators (the "Arbitrators"), selected by the mutual written agreement of the Parties or, if the Parties cannot so agree within ten (10) Business Days of the request for arbitration, selected by the ICC in accordance with the Rules. 11.14.3 The seat of arbitration shall be in Vancouver, British Columbia, where the arbitration award shall be rendered. The arbitration shall be conducted in English. The Arbitrators shall apply the choice of law provided under Clause 11.13. 11.14.4 The Arbitrators shall have the authority to grant urgent, interim and permanent measures deemed appropriate, including orders for the specific performance of the obligations set forth herein. Any order, decision, determination or award rendered by the Arbitrators shall be final, compulsory and legally binding on the parties and their successors, and may be entered and enforced in any court having jurisdiction thereof or having jurisdiction over the relevant party and/or any of its assets. 11.14.5 The arbitral award shall allocate to the losing party, or to both parties in the proportion of their relative failure on their claims and counterclaims, the arbitration costs and expenses, including reasonable attorneys' fees. 11.14.6 The Parties undertake to not disclose (and not allow the disclosure of) any information that they become aware of or any documents presented in the arbitration that are not otherwise of public domain, any evidence or materials produced in arbitration or any decisions rendered in arbitration, unless and to the extent that (i) disclosure is required by Law or regulation, (ii) disclosure is requested by a judicial or governmental order; or (iii) the information become public by any other means not related to the Parties or their Affiliates.   • Dispute Resolution All or any disputes arising out or touching upon or in relation to the terms and conditions of this Agreement, including the interpretation and validity of the terms thereof and the respective rights and obligations of the Parties, shall be settled amicably by mutual discussion, failing which the same shall be settled through the adjudicating officer appointed under the Act.

Unless agreed among all Parties, formal Dispute Resolution procedures, including arbitration or other procedures as appropriate, may be invoked not earlier than sixty (60) calendar days after receipt of the letter initiating Dispute Resolution under Section 10.3.

  • Dispute Resolution Mechanism a. Any dispute regarding the administration of the Institute at the Company or plant level shall be subject to expedited resolution by the Chairs of the Union and Company Negotiating Committees and the Executive Director of ICD who shall apply the policies, rules and regulations of the Governing Board and the provisions of this Section in ruling on any such dispute. Rulings of the Executive Director may be appealed to the Governing Board, but shall become and remain effective unless stayed or reversed by the Governing Board.

  • Dispute Resolution; Mediation (a) Either party may commence the dispute resolution process of this Section 8.2 by giving the other party written notice (a “Dispute Notice”) of any controversy, claim or dispute of whatever nature arising out of or relating to or in connection with this Agreement, any Ancillary Agreement or the breach, termination, enforceability or validity thereof (a “Dispute”) which has not been resolved in the normal course of business or as provided in the relevant Ancillary Agreement. The parties shall attempt in good faith to resolve any Dispute by negotiation between executives of each party (“Senior Party Representatives”) who have authority to settle the Dispute and, unless discussions between the parties are already at a senior management level, who are at a higher level of management than the Persons who have direct responsibility for the administration of this Agreement or the relevant Ancillary Agreement. Within fifteen (15) days after delivery of the Dispute Notice, the receiving party shall submit to the other a written response (the “Response”). The Dispute Notice and the Response shall include (i) a statement setting forth the position of the party giving such notice and a summary of arguments supporting such position and (ii) the name and title of such party’s Senior Party Representative and any other Persons who will accompany the Senior Party Representative at the meeting at which the parties will attempt to settle the Dispute. Within thirty (30) days after the delivery of the Dispute Notice, the Senior Party Representatives of both parties shall meet at a mutually acceptable time and place, and thereafter as often as they reasonably deem necessary, to attempt to resolve the Dispute. The parties shall cooperate in good faith with respect to any reasonable requests for exchanges of Information regarding the Dispute or a Response thereto.

  • CENTRAL DISPUTE RESOLUTION PROCESS The following process pertains exclusively to disputes and grievances on central matters that have been referred to the central process. In accordance with the School Board Collective Bargaining Act, 2014 central matters may also be grieved locally, in which case local grievance processes will apply. In the event that central language is being grieved locally, the local parties shall provide the grievance to their respective central agents.
