Developments, Etc. (a) I will promptly disclose to the Company (or any persons designated by it) all processes, formulas, data, computer programs, software and documentation, know-how, improvements, discoveries, developments, designs, algorithms, inventions, techniques, strategies and new products, whether or not patentable or registrable under copyright or similar statutes, made or conceived or reduced to practice or learned by me, either alone or jointly with others, during the period of my employment that are related to or useful in the actual or anticipated business of the Company, result from tasks assigned to me by the Company, or result from the use of premises owned, leased or contracted for by the Company (all of the foregoing are hereinafter referred to as “Developments”). To the fullest extent permitted by law, the Developments will be deemed work made for hire. I will also promptly disclose to the Company, and the Company hereby agrees to receive all such disclosures in confidence, all other processes, formulas, data, computer programs, software and documentation, know-how, improvements, discoveries, developments, designs, algorithms, inventions, techniques, strategies and new products, whether or not patentable or registrable under copyright or similar statues, made or conceived or reduced to practice or learned by me, either alone or jointly with others, during the period of my employment for the purpose of determining whether they constitute Developments. The provisions of this Section 2 will apply to all Developments which are conceived or developed during the term of my employment with the Company, whether or not further development or reduction to practice may take place after termination of my employment.

Developments, Etc. All improvements, developments, inventions, advancements, new or improved manufacturing or processing techniques, discoveries, new strains, new varietals, and new hybrids, relating to any or all of the Licensed Items or any of Sub-Licensor’s Intellectual Property Rights made by Sub-Licensee (collectively, “Developments”) shall be owned by Sub-Licensee and Sub-Licensee will have the right to ownership of any patentable inventions, patents, patent applications, plant breeder’s rights, and protected plant variety rights and all other Intellectual Property Rights deriving from these Developments. For all areas outside of the Territories, Sub-Licensee hereby grants and shall grant, a non- exclusive fully-paid up, royalty free, sublicensable, and assignable license to each of Sub-Licensor, GHHL and GHSC to Commercialize: (A) each (i) patent and patent application related to seeds or plants included in the Developments; (ii) seed and plant included within the Developments; (iii) plant breeder’s right, and protected plant variety included within the Development, and (B) any other necessary right, title, or interest of the Sub-Licensee required to Commercialize the foregoing property and Intellectual Property. Sub-Licensee makes no representation or warranty regarding any of the foregoing. The provision and license of any of the foregoing items are on an “as is” basis, without representation, warranty or condition of any kind or nature whatsoever, including without limitation the validity of such items or that the rights are enforceable, protectable or exercisable or will not infringe the rights of any other Person.
Developments, Etc. (i) The Executive will make full and prompt disclosure to the Corporation of all improvements, discoveries, methods, processes, developments, and works of authorship, whether patentable or not, which are created, made, conceived or reduced to practice by him or under his direction or jointly with others during his employment by the Corporation, whether or not during normal working hours or on the premises of the Corporation (all of which are collectively referred to in this Agreement as “Developments”).

  • Developments a) Employee will make full and prompt disclosure to Employer of all inventions, improvements, discoveries, methods, developments, software and works of authorship, whether patentable or not, which are created, made, conceived, reduced to practice by Employee or under his direction or jointly with others during his employment by Employer, whether or not during normal working hours or on the premises of Employer which relate to the business of Employer as conducted from time to time (all of which are collectively referred to in this Agreement as "Developments").

  • Curriculum Development This includes the analysis and coordination of textual materials; constant review of current literature in the field, some of which are selected for the college library collection, the preparation of selective, descriptive materials such as outlines and syllabi; conferring with other faculty and administration on curricular problems; and, the attendance and participation in inter and intra-college conferences and advisory committees.

  • Development 3.3 Within twenty (20) Working Days after the Commencement Date and in accordance with paragraphs 3.10 to 3.12 (Amendment and Revision), the Contractor will prepare and deliver to the Authority for approval the full and final Security Plan which will be based on the draft Security Plan set out in Appendix B.

  • Career Development The City and the Union agree that employee career growth can be beneficial to both the City and the affected employee. As such, consistent with training needs identified by the City and the financial resources appropriated therefore by the City, the City shall provide educational and training opportunities for employee career growth. Each employee shall be responsible for utilizing those training and educational opportunities made available by the City or other institutions for the self- development effort needed to achieve personal career goals.
