Customer and Vendor acknowledge and agree that the relationship arising from this Professional Services Agreement, does not constitute or create any joint venture, partnership, employment relationship or franchise between any of them, and the Parties are acting as independent contractors in making and performing this Professional Services Agreement. No amendment to this Professional Services Agreement will be valid unless such amendment is made in writing and is signed by the authorized representatives of the Parties. If any provision, or portion thereof, of this Professional Services Agreement is held unenforceable or invalid by a court of competent jurisdiction, the enforceability of the remaining provisions will not be affected. The headings in this Professional Services Agreement are inserted merely for the purpose of convenience and will not affect the meaning or interpretation of this Professional Services Agreement. This Professional Services Agreement sets forth the entire agreement and understanding between the Parties hereto with respect to the subject matter hereof. No waiver under this Professional Services Agreement will be binding unless set forth in writing and duly executed by the Party against whom enforcement of such waiver is sought. Any such waiver will constitute a waiver only with respect to the specific matter described therein and will in no way impair the rights of the Party granting such waiver in any other respect or at any other time. Any delay by either Party in exercising any right hereunder will not be deemed a waiver of that right.

  • Customer The agency or eligible user that purchases commodities or contractual services pursuant to the Contract.

  • Customers and Suppliers (a) Section 3.15(a) of the Disclosure Schedules sets forth (i) each customer who has paid aggregate consideration to the Company for goods or services rendered in an amount greater than or equal to $25,000 for each of the two most recent fiscal years (collectively, the “Material Customers”); and (ii) the amount of consideration paid by each Material Customer during such periods.   • Customer Data 5.1 The Customer shall own all right, title and interest in and to all of the Customer Data and shall have sole responsibility for the legality, reliability, integrity, accuracy and quality of the Customer Data.

  • Customer Affiliates Customer Affiliates may purchase and use Service subscription and Professional Services subject to the terms of this Agreement by executing Order Forms or Statements of Work hereunder that incorporate by reference the terms of this Agreement, and in each such case, all references in this Agreement to Customer shall be deemed to refer to such Customer Affiliate for purposes of such Order Form or Statements of Work.

  • Customer Access The Customer is responsible for the access to the Cloud Services and is responsible for maintaining the confidentiality of its access methods such as usernames and passwords and agrees to notify the Supplier via the Cloud Services support channel if a password is compromised. The Customer is responsible for all activities that occur under its Account.

  • Contractor Parties A Contractor’s members, directors, officers, shareholders, partners, managers, principal officers, representatives, agents, servants, consultants, employees or any one of them or any other person or entity with whom the Contractor is in privity of oral or written contract and the Contractor intends for such other person or entity to Perform under the Contract in any capacity.

  • Contractor’s Project Manager and Key Personnel Contractor shall appoint a Project Manager to direct the Contractor’s efforts in fulfilling Contractor’s obligations under this Contract. This Project Manager shall be subject to approval by the County and shall not be changed without the written consent of the County’s Project Manager, which consent shall not be unreasonably withheld. The Contractor’s Project Manager shall be assigned to this project for the duration of the Contract and shall diligently pursue all work and services to meet the project time lines. The County’s Project Manager shall have the right to require the removal and replacement of the Contractor’s Project Manager from providing services to the County under this Contract. The County’s Project manager shall notify the Contractor in writing of such action. The Contractor shall accomplish the removal within five (5) business days after written notice by the County’s Project Manager. The County’s Project Manager shall review and approve the appointment of the replacement for the Contractor’s Project Manager.
