Corporation’s undertakings. In addition to the Services as provided for herein, and as additional consideration for the payments to be made by County to Corporation, the Corporation shall undertake the following employment and facilities actions: The Corporation shall hire, employ, engage, or cause to be hired, employed or engaged, a number of persons, as the Corporation deems appropriate, including a Chief Executive Officer, to deliver the Services for which the County has contracted herein. Any and all titled positions and corresponding job descriptions and duties shall be at the exclusive discretion of the Corporation. From and after the effective date of their employment with the Corporation, all costs of employing the above-named persons, including, but not limited to, the costs of making retirement contributions, providing fringe benefits, and the cost of providing health insurance benefits during employment and upon an employee’s retirement from the Corporation, will be the sole responsibility of the Corporation. Any and all wages and benefits to be provided to Corporation employees shall be at the Corporation’s discretion and in accordance with its policies, rules and regulations, and/or in accordance with any collective bargaining agreement reached between the Corporation and a collective bargaining agent for such Corporation employees. The Corporation shall lease appropriate office space to accommodate all employees hired, at the Corporation’s expense.
Corporation’s undertakings. 11.1. The Corporation agrees and undertakes in favour of the Debentureholder that, as long as the Debenture has not been fully converted into Shares or repaid, it will fulfil the undertakings made and the obligations incumbent upon it under this Debenture and under section 7 of the Subscription Agreement.
