Control Documentation. Service Provider shall provide to Purchaser and its Affiliates (a) access to Service Provider and its Affiliates’ Xxxxxxxx-Xxxxx Act and Model Audit Rules control documentation and the results of any internal control testing performed by it with respect to the Services, and access to the books, records and employees of Service Provider and its Affiliates for purposes of independently performing tests of the Company Business’s documentation and controls with respect to the Services, each of the foregoing as reasonably requested by Purchaser or the Receiving Parties from time to time; and (b) prompt notice of significant deficiencies, material weaknesses or material omissions in internal controls identified in connection with such internal control testing related to the Services. Service Provider shall use its commercially reasonable efforts to remedy, as promptly as reasonably practicable, significant deficiencies, material weaknesses or material omissions in internal controls identified in connection with such internal control testing related to the Services, at Purchaser’s expense. Service Provider agrees that the subject of the Services will remain subject to its customary Xxxxxxxx-Xxxxx Act and Model Audit Rules controls environment and standards.

Control Documentation. Xxxxxx will maintain on site a system of written quality procedures, manufacturing instructions, and facility operations that reflect the processes set forth in the specifications. In addition, Xxxxxx will, in accordance with cGMPs, maintain a change management system that tracks and controls changes to such documents. Certain identified information marked with [***] has been excluded from this exhibit because it is not material and is of the type that the registrant treats as private and confidential.

  • Control Documents (a) Each of the parties to the Control Documents has the legal right, power and authority to enter into and perform its/his/her obligations under each Control Document to which it/he/she is a party and has taken all necessary corporate action to authorize the execution, delivery and performance of, and has authorized, executed and delivered, each Control Document to which it/he/she is a party; (b) each Control Document constitutes a legally binding obligation of the parties thereto, enforceable in accordance with its terms; and (c) each Control Document is in full force and effect.

  • Technical Documentation Subject to the terms of this Agreement, BROCADE hereby grants to McDATA a nonexclusive, nontransferable, worldwide license to reproduce and use BROCADE's technical documentation provided to McDATA by BROCADE hereunder, solely for McDATA's internal purposes in connection with the manufacture, marketing and support of the McDATA Products into which the Products are incorporated as set forth herein. Modifications to such technical documentation by McDATA shall require BROCADE's prior written authorization, which authorization will not be unreasonably withheld.

  • Tax Documentation For the purposes of Sections 4(a)(i) and 4(a)(ii) of the Agreement, Counterparty shall provide to Dealer, and Dealer shall deliver to Counterparty, a valid and duly executed U.S. Internal Revenue Service Form W-9, or any successor thereto, (i) on or before the date of execution of this Confirmation; (ii) promptly upon reasonable demand by the other party; and (iii) promptly upon learning that any such tax form previously provided has become invalid, obsolete, or incorrect. Additionally, Counterparty or Dealer shall, promptly upon reasonable request by the other party, provide such other tax forms and documents reasonably requested by the other party.

  • Product Documentation Supplier shall produce and deliver to Sony Ericsson Product Documentation fulfilling the requirements set out in templates included in Enclosure 2.3.

  • Additional Documentation Execute and deliver, or cause to be executed and delivered, any and all other agreements, instruments or documents which Lender may reasonably request in order to give effect to the transactions contemplated under this Loan Agreement and the other Loan Documents.
