Construction Expense. The Developer shall construct, or cause to be constructed, the Project and all Public Improvements on or relating to the Project and pay all other expenses for the Public Improvements, as its sole expense, except as specifically provided herein. The Developer has submitted a detailed estimated breakdown of costs for all Public Improvements required to be constructed to extend public services and improvements to the Project. Such cost estimates have been prepared by Developer’ engineer, an engineer licensed in the State of Kansas, and are made a part of this agreement [Exhibit A]. Developer’s obligation to pay for the full cost of Public Improvements is not limited to the estimated costs set out in Exhibit A. Exhibit A shall be amended consistent with any amended Public Improvement plans set out in Section 2(A) above.

Construction Expense. LANTA shall pay and discharge, or cause to be paid and discharged, any and all obligations, cost, fees, or expenses incurred or charged for the construction or erection of any transit shelter, and shall pay and discharge or cause to be paid and discharge all costs or expenses incurred, charged, or imposed, in connection with the maintenance or repair of the transit shelters during the term of this License Agreement.

The Company will pay, and will save each Purchaser and each other holder of a Note harmless from, (i) all claims in respect of any fees, costs or expenses, if any, of brokers and finders (other than those, if any, retained by a Purchaser or other holder in connection with its purchase of the Notes) and (ii) any judgment, liability, claim, order, decree, fine, penalty, cost, fee, expense (including reasonable attorneys’ fees and expenses) or obligation resulting from the consummation of the transactions contemplated hereby, including the use of the proceeds of the Notes by the Company, due to (a) any failure of any representation or warranty of the Company in this Agreement to be true and correct in all material respects on the date as of which made and at the time of the Closing (except, in each case, to the extent any representation or warranty expressly relates to a different date, in which case as of such different date) or (b) any failure by the Company to perform or comply in all material respects with any covenant or agreement contained in this Agreement.

  • Additional Expenses The Underwriter will pay all expenses (e.g., shipping, postage and courier costs) associated with the delivery of the Prospectus to prospective investors and investors, other than the costs of delivery to the Underwriter's facilities, provided, that if courier services (other than overnight delivery services utilized in the ordinary course of business) are required to ensure that the Prospectus is delivered to investors on the day immediately preceding the Closing Date, the Company will pay such courier expenses.
