Compliance by Operator. As to any part of the Mortgaged Properties which is not a working interest, Mortgagor agrees to take all such action and to exercise all rights and remedies as are available to Mortgagor to cause the owner or owners of the working interest in such properties to comply with the covenants and agreements contained herein; and as to any part of the Mortgaged Properties which is a working interest but which is operated by a party other than Mortgagor, Mortgagor agrees to take all such action and to exercise all rights and remedies as are available to Mortgagor (including, but not limited to, all rights under any operating agreement) to cause the party who is the operator of such property to comply with the covenants and agreements contained herein.
Compliance by Operator. As to any part of the Mortgaged ------------------------ Properties which is not a working interest, Mortgagor agrees to take all such commercial and reasonable action and to exercise all rights and remedies as are reasonably available to Mortgagor to cause the owner or owners of the working interest in such properties to comply with the covenants and agreements contained herein; and as to any part of the Mortgaged Properties which is a working interest but which is operated by a party other than Mortgagor, Mortgagor agrees to take all such commercial and reasonable action and to exercise all rights and remedies as are reasonably available to Mortgagor (including, but not limited to, all rights under any operating agreement) to cause the party who is the operator of such property to comply with the covenants and agreements contained herein.
Compliance by Operator. As to any part of the Properties which is operated by a party other than Mortgagor, Mortgagor agrees to take all such action and to exercise all rights and remedies as are available to Mortgagor (including, but not limited to, all rights under any operating agreement) which are reasonable and prudent (financially, operationally, or otherwise) to cause the party who is the operator of such Property to comply with the covenants and agreements contained herein. However, nothing contained herein shall be construed to permit Mortgagor to relinquish its position as Operator.
Compliance by Operator. As to any part of the Mortgaged Properties which is operated by a party other than Grantor, Grantor agrees to take all such commercially reasonable action and to exercise all rights and remedies as are available to Grantor (including, but not limited to, all rights under any Operating Agreement) to cause the party who is the operator of such Mortgaged Properties to comply in all material respects with the covenants and agreements contained herein. Compliance by Operator. As to any Mortgaged Property that is not a working interest, Mortgagor agrees to take all commercially reasonable action and to exercise all rights and remedies as are available to Mortgagor on a commercially reasonable basis to cause the owner or owners of the working interest in or related to such Mortgaged Property to comply with Mortgagor's covenants and agreements contained herein with respect to such Mortgaged Property; and as to any part of the Mortgaged Properties that is a working interest but is operated by a Person other than Mortgagor, Mortgagor agrees to take all commercially reasonable action and to exercise all rights and remedies as are available to Mortgagor on a commercially reasonable basis (including all rights under any operating agreement) to cause such Person to comply with Mortgagor's covenants and agreements contained herein with respect to such Mortgaged Property.
Compliance by Operator. As to any part of the Mortgaged Properties which is not a working interest, Mortgagor agrees to use its reasonable efforts to cause the owner or owners of the working interest in such properties to comply with the covenants and agreements contained herein; and as to any part of the Mortgaged Properties which is a working interest but which is operated by a party other than Mortgagor, Mortgagor agrees to use its reasonable efforts (including, but not limited to, exercising all rights under any operating agreement) to cause the party who is the operator of such property to comply with the covenants and agreements contained herein.
Compliance by Operator. As to any part of the Mortgaged Properties which is not a working interest, Grantor agrees to take all such action and to exercise all rights and remedies as are available to Grantor to cause the owner or owners of the working interest in such properties to comply with the covenants and agreements contained herein; and as to any part of the Mortgaged Properties which is a working interest but which is operated by a party other than Grantor, Grantor agrees to take all such action and to exercise all rights and remedies as are available to Grantor (including, but not limited to, all rights under any Operating Agreement) to cause the party who is the operator of such property to comply with the covenants and agreements contained herein.
Compliance by Operator. 36 Section 10.02
Compliance by Operator. (a) Except as otherwise provided in Section 9.03, from and after the Term Commencement Date, Operator, at its sole cost and expense, shall promptly comply with all present and future laws, ordinances, requirements, orders, directives, rules and regulations of all federal, state, county, town and city governments and of all other governmental authorities, departments, boards and officers, and all orders, rules and regulations of the National and New York Boards of Fire Underwriters or any other body or bodies which may exercise similar functions, foreseen and unforeseen, ordinary and extraordinary, applicable to the Existing Plant or any part of it or to its use, whether in force at the Term Commencement Date or passed, enacted or directed in the future, and whether or not compliance shall require structural changes (collectively in this Article "the requirements"). Operator shall also comply with all requirements to the extent of their application to Operator's use of the Existing Plant during the pre-term period. Operator shall pay all costs, expenses, liabilities, losses, damages, fines, penalties, claims and demands, including reasonable counsel fees (collectively "the costs"), that may in any manner arise from or be imposed because of the failure of Operator to comply with this Article and shall indemnify, hold harmless and defend Owner of and from the costs.
Compliance by Operator. OPERATOR shall, at OWNER'S cost and expense, comply with and abide by all laws, rules, regulations, requirements, orders, notices, determinations, and ordinances of any federal, state, or municipal authority, including, without limitation, state, and local liquor authorities, the Board of Fire Underwriters, and the requirements of any insurance companies covering any of the risks against which the HOTEL is insured.
