Compensation for Termination Without Cause. Subject to the provisions of this Agreement, in the event Employee's employment is terminated by Employer without Cause prior to February 28, 2006, Employer shall pay to Employee an amount equal to $500,000 minus the amount of any Transition Bonus paid prior to the Termination Date.

Compensation for Termination Without Cause. In the event that Employee's employment with the Company is terminated by the Company without cause (as set forth in Section 5.3) or by the Employee for good reason (as defined in Section 5.3A, the Company shall pay to Employee (i) within 15 days of such termination, all unpaid salary and vacation earned by her up to and including the date of termination; (ii) the Incentive Compensation calculated and paid in accordance with Section 3 above; (iii) within 60 days of such termination, amounts payable under Section 4.2; and (iv) within 60 days of such termination, such additional amounts as may be provided for under the express terms of any applicable benefit plans. Such payments shall be in lieu of any and all compensation, benefits and claims of any kind, excepting only such additional amounts as may be required by law to be paid. Notwithstanding any other provision of this Section 5.7, the termination of the Employee within six months after a change in control (as defined in the 1993 Company Benefits Portfolio) of the Company shall be deemed termination without cause and the Employee shall be entitled to the payments described in this Section 5.7 in the event of termination following such a change in control.
