BUSINESS ETHICS AND CONDUCT. (A) Supplier hereby agrees that any individual persons named within Purchaser’s Applicant Tracking System or otherwise assigned by Supplier to perform services for Purchaser, shall adhere to the General Dynamics corporate policy on business ethics and conduct, as published in the "General Dynamics Standards of Business Ethics and Conduct" also known as the "Blue Book". The Blue Book will be provided to Supplier by Purchaser and provides detail on areas such as Business Ethics Principles, Business Ethics Model, Conducting Business, Working with the Government, Working with Others, and Protecting GDLS Resources. The Book also identifies the many resources available for any action requiring General Dynamic’s attention. Supplier agrees that each individual assigned by Supplier, although not an employee or agent of Purchaser, shall conduct himself/herself in a manner consistent with this publication.
BUSINESS ETHICS AND CONDUCT. This clause will only apply if the aggregate value of this Agreement exceeds $5 million and lasts for more than 120 days.
BUSINESS ETHICS AND CONDUCT. You are put on notice that to the extent FAR 52.203-13 applies to this Purchase Order, that you will have established and maintain a code of business ethics and conduct. If you are unable to establish such a code or requires assistance in doing so, you shall contact GEHC for assistance. You shall ensure that this clause is properly flowed down in your subcontracts to the extent applicable.

  • BUSINESS ETHICS During the course of pursuing contracts, and the course of contract performance, Provider will maintain business ethics standards aimed at avoiding real or apparent impropriety or conflicts of interest. No substantial gifts, entertainment, payments, loans or other considerations beyond that which would be collectively categorized as incidental shall be made to any employees or officials of HISD, its authorized agents and representatives, or to family members of any of them. At any time Provider believes there may have been a violation of this obligation, Provider shall notify HISD of the possible violation. HISD is entitled to request a representation letter from Provider, its subcontractors or vendors at any time to disclose all things of value passing from Provider, its subcontractors or vendors to HISD’s personnel or its authorized agents and representatives. REQUIRED DISCLOSURES

  • Business Conduct Merger Sub was incorporated on November 5, 2020. Since its inception, Merger Sub has not engaged in any activity, other than such actions in connection with (a) its organization and (b) the preparation, negotiation and execution of this Agreement and the Transactions. Merger Sub has no operations, has not generated any revenues and has no assets or liabilities other than those incurred in connection with the foregoing and in association with the Merger as provided in this Agreement.

  • Business Conducted Borrower shall continue in the business currently conducted by it using its best efforts to maintain its customers and goodwill.   • Code of Ethics The Adviser has adopted a written code of ethics complying with the requirements of Rule 17j-1 under the Act and will provide the Trust with a copy of the code and evidence of its adoption. Within 45 days of the last calendar quarter of each year while this Agreement is in effect, the Adviser will provide to the Board of Trustees of the Trust a written report that describes any issues arising under the code of ethics since the last report to the Board of Trustees, including, but not limited to, information about material violations of the code and sanctions imposed in response to the material violations; and which certifies that the Adviser has adopted procedures reasonably necessary to prevent "access persons" (as that term is defined in Rule 17j-1) from violating the code.

Compliance with these standards is a mandatory component of Buyer's purchase contracts worldwide and must also apply to Seller subcontractors. Both, the BorgWarner Supplier Code of Conduct and the BorgWarner Supplier Manual are incorporated by reference as part of the Purchase Order, are binding on the Seller, and Seller explicitly verifies to have read and accepted the BorgWarner Supplier Code of Conduct and the BorgWarner Supplier Manual.
