Both Party A and Party. B shall submit the detailed contact information (including, among other things, the mailing address, telephone number and encrypted fax number) to the other party for record. Either party shall notify the other party of the change to contact information in advance.
Both Party A and Party. B agree that Party A shall fully indemnify the JVC and/or Party B all the losses incurred to them (including litigation and legal expenses) with respect to all tax liabilities, administrative penalties, indebtedness (including contingent debts except for the debts set forth in Section 13.04 herein (i.e. the additional debts incurred, on fair and reasonable terms, to Shanghai Huyong related to its normal operations in the ordinary course of business after the date hereof)), guarantees, liabilities, obligations, claims, compensation (if any), which are outstanding as of the date hereof or continues after the date hereof and not disclosed in Appendix B hereto, arising from or in consequence of the execution and performance of contracts or engagement of other business activities by Shanghai Huyong, whether the demands or the claims against the JVC and/ or Party B are brought before or after the Date of Establishment of the JVC.
Both Party A and Party. B shall affix a copy of their business license to the other party and keep it for the record.
Both Party A and Party. B shall be in compliance with the applicable laws, regulations and policies of the State concerning telecommunications and internet information in the event of a newly issue rules and regulation by the relevant State authority regulatory.
Both Party A and Party. B shall strictly perform their respective obligations herein upon the execution of this contract. Any party who arbitrarily quits the job shall bear the responsibility and be subject to pay RMB for breach of contract herein. In case that any party has breached the contract and caused any economic loss to the other party, such party shall compensate the other party in accordance with the relevant laws and regulations of PRC.
Both Party A and Party. B are under the obligation to keep the Technology confidential in accordance with the Confidentiality Agreement between the parties dated October 29, 1998. *omitted and filed separately with the United States Securities and Exchange Commission pursuant to a request for confidential treatment.
Both Party A and Party. B have the obligation to keep the contents of this Agreement and related matters confidential, and one party shall not disclose it to any third party without the written consent of the other party.
Both Party A and Party. B promise to abide by the regulations related to the promotion service of the service platform (including but not limited to product introduction, price standards, notices, specifications, agreements, etc.), and if one party violates and causes economic losses, it shall be liable for compensation.
Both Party A and Party. B acknowledge that confidential information constitutes valuable trade secrets, and therefore have agreed to use each other’s confidential information only in strict compliance with the provisions set forth under this Contract. Both Parties have agreed:
Both Party A and Party. B shall guarantee not to reveal any non-public information to a third party besides each party. Both parties shall promise not to copy and spread information provided by Party A and the investor or to reveal it to a third party in any manner. When it is necessary to provide information of related parties to other parties, permits of the both parties to this agreement shall be obtained.
