Assumption Certificates. Section 3.1 Assumption Certificates. GABC shall issue an Assumption Certificate to the Contractowners in accordance with Section 4.6 of the Restructuring Plan in substantially the form of Exhibit C within 120 days after the Closing Date to evidence GABC’s assumption of the GABC Obligations. The assumption represented by the Assumption Certificates is subject to the terms and conditions of this Agreement, the Restructuring Plan and any defenses that are now or may hereafter become available to ELNY, any PGA, the New York Article 75 GA or GABC.

Assumption Certificates. As soon as possible after the Assumption Dates, and in any event within the time prescribed by applicable insurance laws, the appropriate Reinsurer shall mail to the last known address of each policyowner or contractowner of the Policies an Assumption Certificate in a form substantially similar to the form attached hereto as Exhibit F or in such other form as may be required by the insurance regulatory authority of the state in which the policyowner or contractowner resides.

Assumption Certificates. No later than thirty (30) days after Assumption Date, or within such other timeframe as required by applicable Law, NHIC shall prepare and issue to each policyholder a Certificate of Assumption in substantial conformity with Exhibit A. It is understood that Exhibit A is attached hereto is for illustrative purposes only and that there may be variations of this Exhibit on a state by state basis if state regulatory approval of the assumption is required. The Company shall cooperate and assist the Assumption Reinsurer in the preparation and mailing of the Assumption Certificates as provided herein. The Assumption Certificates shall be mailed to the applicable Policyholders on dates mutually agreed upon by the Company and the Assumption Reinsurer and, to the extent required by applicable law, shall be reviewed by and found acceptable to the appropriate regulatory authorities prior to mailing.
