Assignment by Participant. The Participant shall not assign its rights under this Agreement in whole or in part without first obtaining the written consent of Grantor which consent may not be unreasonably withheld. Notwithstanding any assignment by the Participant, the Grantor will always look to the Participant for performance of any duties and obligations required to be carried out by the Participant under this Agreement during the Test Well phase of the Farmout Agreement, unless otherwise agreed to in writing by Grantor.
Assignment by Participant. The Participant may assign, pledge or grant a security interest in any or all of its rights under this Agreement and the Electronic Tracking Agreement to one or more Assignees in connection with the assignment, pledge or grant of a security interest in a Participation Certificate, and/or related Mortgage Notes, Assignments of Mortgages and related Security. In addition to the notice required by Section 3(b), the Participant shall give written notice thereof to the Seller and the Custodian. The failure of the Participant to give such notice shall not affect the validity of any such assignment, pledge or grant of a security interest. If the Participant does, however, fail to give such notice to the Seller and the Custodian, then the Assignee may give such notice to the Seller and the Custodian. Upon receipt of such notice by the Seller and the Custodian, copies of all communications required to be sent hereunder to the Participant shall be sent to both the Participant and each Assignee (at its address set forth in such notice of assignment). Subject to any limitations in any agreement between such Assignee and the Participant, such Assignee may, upon notice as provided in Section 16 hereof, directly enforce and exercise such rights under this Agreement that have been assigned or pledged to it or are the subject of a security interest granted to it and, until otherwise notified by such Assignee, the Participant shall no longer have any of such rights.
Assignment by Participant. Subject to all applicable laws and to the ------------------------- rights of Fox hereunder, Participant may assign the rights to Participant's Percentage Participation at any time during the Term provided that a Notice of Irrevocable Authority and Acceptance in Fox's usual form shall be executed by Participant and by the assignee and delivered to Fox. Fox shall no be obligated to pay in accordance with any partial assignment if the formula or basis of computation creates any doubt of interpretation whereby Fox takes any risk whatsoever and/or it all the assignees fail to execute and deliver an agreement in Fox's usual form appointing a single person as a disbursing agent, to whom Fox may make all such payments thereafter regardless of any further assignment(s). Fox's payment in accordance with any such assignment or designation shall be deemed to be equivalent of payment to Participant hereunder and shall discharge Fox from any further liability or obligation to Participant for the payment of monies hereunder. Participant's rights to inspect and audit Fox's books of account shall not be assignable without Fox's prior written consent.

Assignment by Participant. A. Participant may assign Participant's right to receive its Contingent Bonus hereunder in whole or in part, at any time after the release of the Picture, subject to TWC's approval not to be unreasonably withheld and provided that such assignment does not subject TWC to any additional liability in connection with the assignment. However, in no event shall TWC be obligated to account to more than one Person. In any event, TWC's obligation to pay in accordance with any assignment, or designation of a disbursing agent, shall be conditioned on TWC's receipt of written notice thereof, in form satisfactory to TWC, and TWC's payment in accordance therewith shall satisfy TWC's payment obligations to Participant hereunder. Participant's right to examine TWC's books of account shall not be assignable without TWC's prior written consent, which consent may be withheld in TWC’s sole discretion, and in any event shall be limited to one Person.
Assignment by Participant. This Plan shall inure to the benefit of and be enforceable by Participant’s personal or legal representatives, executors, administrators, successors, heirs, distributees, devisees, and legatees. If Participant dies while any amount would still be payable to him or her hereunder had he or she continued to live, all such amounts, unless otherwise provided herein, shall be paid in accordance with the terms of this Plan to Participant’s Beneficiary.
Assignment by Participant. Upon obtaining prior written consent from Lead, Participant may sell, participate, transfer, encumber or assign its Participation Interest.
Assignment by Participant. 5.1 The Participant may freely assign its rights to receive payment of the amounts due under this Agreement, provided that the Participant provides written notice of such assigment to the Agency.
Assignment by Participant. Participant may assign all or a part of its interest in this Agreement but notwithstanding any assignment by Participant, Grantor will always look to Participant for performance of any duties and obligations required to be carried out by Participant under this Agreement during the Seismic phase, Land Sale phase and drilling of the Test Well.
Assignment by Participant. A Participant may assign, on notice to the other Parties but without consent, its rights at no cost to reflect a reorganization and/or the conduct of its IT functions, such as through LHINs or entities created for the facilitation of IT functions for one or more licensees.
