Application of Fees. We may apply any amounts received under this Paragraph 7 to any amounts due under this Agreement. If any amounts are not paid when due, such non-payment will constitute a material breach of this Agreement and, in addition, such unpaid amounts will accrue a service charge beginning on the first day of the month following the due date of one and one-half percent (1 1/2%) per month or the maximum amount permitted by applicable law, whichever is less. Should we hire counsel to collect any amounts due under this Agreement, and/or any late charges, you will pay our reasonable attorneys' fees.
Application of Fees. The application of fees herein shall not excuse WHOLESALER’s performance obligations as set forth in this agreement, nor shall it waive any rights of MMCAP Infuse or MMCAP Infuse Members to seek any and all available legal and equitable remedies.

If either (i) any Fees remain after repaying all possible MCWD Indebtedness or (ii) for any reason, Fees cannot be applied to pay or reduce the MCWD Indebtedness, then MCWD shall apply the remaining Fees collected prior to the first day of such calendar quarter towards the MCWD O&M Costs next incurred.
