Unpaid Amounts. For the purpose of determining an Unpaid Amount in respect of the relevant Transaction, and to the extent permitted by applicable law, interest will accrue on the amount of any payment obligation or the amount equal to the fair market value of any obligation required to be settled by delivery included in such determination in the same currency as that amount, for the period from (and including) the date the relevant obligation was (or would have been but for Section 2(a)(iii) or 5(d)) required to have been performed to (but excluding) the relevant Early Termination Date, at the Applicable Close-out Rate.
Unpaid Amounts. For the purpose of determining Unpaid Amounts, any payment or delivery obligation which is (or would have been but for Section 2(a)(iii)) required to be performed pursuant to Section 2 of the Credit Support Annex shall be disregarded.
Unpaid Amounts. All accrued but unpaid Base Pay including credit for unused vacation days limited in accordance with (P) 5-b payable within 10 days of the date of termination, plus
Unpaid Amounts. In the event that on the Maturity Date, there is an outstanding balance on the Face Amount, the Holder can exercise its right to increase the Face Amount by ten percent (10%) as an initial penalty. The Company shall also continue to pay the interest rate outlined in this Agreement. If the aforementioned occurs, the Company will be in Default and remedies as described in Article 4 may be taken at the Holder’s discretion.
Unpaid Amounts. If The Owner does not pay all unpaid amounts due and remove The Vehicle after written demand to do so, The Owner agrees that CM may (at its option) sell The Vehicle non-judicially to recover unpaid amounts due and/or take such other steps XX xxxxx appropriate to remove The Vehicle from CM’s premises, including disposal of The Vehicle. The Owner agrees to pay for CM’s reasonable attorneys or fees and costs incurred in enforcing the provisions of this section.
Unpaid Amounts. After Section 6(e)(ii), a new Section 6(e)(iii) is inserted as follows, Section 6(e)(iii) and 6(e)(iv) are renumbered accordingly, and all cross references in the Agreement to Sections 6(e)(iii) and (iv) are renumbered to the extent necessary:
Unpaid Amounts. At the expiration of this Agreement for any reason, Licensee immediately shall pay to Licensor any and all unpaid amounts then due and owing to Licensor (including without limitation Royalties and Guaranteed Minimum Royalties for any Contract Year (or portion thereof) prior to the date of the expiration of this Agreement).
Unpaid Amounts. If the Second Method and Loss apply in respect of a Terminated Transaction, in addition to the amounts (if any) payable under Section 6(e)(i)(4) or Section 6(e)(ii), an amount will be payable equal to the Termination Currency Equivalent of the Unpaid Amounts owing to Party A less the Termination Currency Equivalent of the Unpaid Amounts owing to Party B. If the amount payable is a positive number, Party B will pay that amount to Party A; if it is a negative number, Party A will pay that amount to Party B. For the purposes of this Section 6(e)(iii), the definition of "Unpaid Amounts" in Section 14 will be construed so that references in that definition to "all Terminated Transactions" and "each Terminated Transaction" are references only to Terminated Transactions in respect of which the Second Method and Loss apply."
Unpaid Amounts. No Party shall be relieved from its obligation to pay any fees, payments or other amounts incurred and payable to the other Party prior to termination of this Agreement, including, as applicable, the Payment Processing Fee, any Service Credits and the Impact Payment.
Unpaid Amounts. Any unpaid amounts payable by Vistana hereunder as of the date of termination shall be automatically due and payable in full within ten (10) Business Days following termination of this Agreement.
