Agreements with Connected Parties. 5.1 There are no existing contracts or arrangements material to the Business between, on the one hand, any Business Seller or the Company and, on the other hand, the Seller or any member of the Seller’s Group other than on normal commercial terms in the ordinary course of business.
Agreements with Connected Parties. 6.2.1 There are no existing contracts between, on the one hand, a Group Entity and, on the other hand, any member of the Seller’s Group (excluding the Group Entities) other than on arm’s length terms in the Ordinary Course of Business.
Agreements with Connected Parties. 6.3.1 Other than contracts that will terminate on Closing or which are entered into or not terminated on Closing pursuant to the Wider Transaction Documents, there are no existing contracts with a value in excess of £500,000 per annum between, on the one hand, any Group Company and, on the other hand, any Relevant Seller, any person who is or was a shareholder of any Relevant Seller or any other member of the Seller’s Group (other than a Group Company).
Agreements with Connected Parties. 6.3.1 There are no existing contracts, and have not been since 1 January 2004 any contracts, between, on the one hand, any Group Company and, on the other hand, the Seller or any other member of the VIA Group other than on normal commercial terms in the ordinary and usual course of business or which cannot be terminated on less than 30 days notice and other than those contracts included in the Data Room.
Agreements with Connected Parties. 7.1 There are no existing contracts or arrangements material to the business of the Vaccines Group between, on the one hand, any Business Seller or Vaccines Group Company and, on the other hand, the Seller, any Relevant Seller other than on normal commercial terms in the ordinary course of business.

There are no existing contracts or arrangements material to the business of the Target Group between, on the one hand, any Business Seller or Target Group Company and, on the other hand, the Seller or any other member of the Seller’s Group (other than any Business Seller or Target Group Company), other than on normal commercial terms in the ordinary course of business.

(a) There are no existing contracts or arrangements between, on the one hand, any Group Company and, on the other hand, any Management Warrantor or any of their Connected Persons, or either Institutional Seller or any member of the Institutional Sellers’ Groups, other than on normal commercial terms in the ordinary and usual course of business.
Agreements with Connected Parties. 6.3.1 There are no existing (and during the past two years there have not been any) agreements or arrangements material to the conduct of the business carried on by the Group as a whole between, on the one hand, any member of the Group and, on the other hand, any member of the Retained Group or any person connected with it, other than on normal commercial terms in the ordinary course of business.

Agreements with Connected Parties. 6.4.1 There is no Indebtedness (actual or contingent) nor any indemnity, guarantee or security arrangement between any Group Company and any current or former employee, current or former director or any current or former consultant of any Group Company or any person connected with any of such persons or in which any such person is interested (whether directly or indirectly) and since the enactment of Xxxxxxxx-Xxxxx, no Group Company has made any material loans (other than loans which relate to ordinary course employee advances for business purposes including annual travel arrangements) to any executive director of a Group Company.
