Retained Group definition

Retained Group means the Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (except members of the Group);
Retained Group means the Seller’s Group other than the Wider Group;
Retained Group means, with the exception of the members of the Company Group, the Parent, its Subsidiaries and any Subsidiary of any such Subsidiary from time to time.

Examples of Retained Group in a sentence

  • Liberty Global agrees to pay each member of its Retained Group that part of each payment to which it is entitled.

  • If any member of the Purchaser’s Group or relevant Seller’s Retained Group (as the case may be) shall recover any amount from such other person, the amount of the claim against the relevant Seller shall be reduced by the amount so recovered (less (i) all reasonable costs of recovery and (ii) any Tax thereon).

  • Vodafone agrees to pay each member of its Retained Group that part of each payment to which it is entitled.

More Definitions of Retained Group

Retained Group means the Seller and any other company or companies (other than any Target Company) which either are or become after Closing, or have within the six years ending at Closing been, treated as members of the same group as, or otherwise connected or associated in any way with, the Seller for any tax purpose; Surrender means:
Retained Group means the Seller’s Group excluding the Group Companies;
Retained Group means, following Completion, the Seller and each member of the Seller’s Group, including the Dutch Seller and the Carved-Out US Entities;
Retained Group means the Group excluding the EPCI HK Group and the EPCI Singapore Group and “Retained Group Company” means any one of them;
Retained Group means the Sellers, their subsidiaries and subsidiary undertakings from time to time, any holding company of each Seller and any other subsidiaries or subsidiary undertakings of any such holding company (except JV1, JV2, any member of the Target Group and Infrastructure Newco) and excluding INEOS Newco
Retained Group means the Seller and its Affiliates (other than a Subsidiary).
Retained Group means the Seller and its Affiliates (provided that, for the avoidance of doubt, “Retained Group” shall not include any member of the Target Group), and a “member of the Retained Group” shall be construed accordingly.
