Affiliate Payments. Except as set forth on Schedule 6.21, no Credit Party shall pay or otherwise advance, directly or indirectly, any management, consulting or other fees to an Affiliate.

Affiliate Payments. All payments made by the Company to WDC pursuant to the Purchase and Intercompany Services Agreement (the "PISA"), dated as of April 6, 1998, among WAMP, WDC, the Company and PriceLine Travel, for services provided by WDC are made on the same basis as if the Company were paying an unaffiliated third party for similar services pursuant to an arm's length transaction.
Affiliate Payments. From and after the Closing, subject to applicable law (including fraudulent conveyance law and law related to dividends and distributions) that may restrict payments, until all of the obligations of Buyer hereunder and under the Note and all of the Assumed Liabilities which constitute trade accounts payable have been paid and satisfied in full, Buyer will not make any distribution, dividend or other similar payment, make any loan to or investment in any Affiliate or make any payment to or transfer any asset or right to any Affiliate, except for reasonable salary for services rendered and distributions necessary for Buyer's shareholders to pay income taxes arising because of Buyer's status as an S corporation under the Internal Revenue Code of 1986, as amended (the "Code"). For purposes hereof, "Affiliate" shall mean any direct or indirect equity holder of Buyer, any director, officer or employee of Buyer or of any such equity holder, any spouse or relative of any of the foregoing which is a natural person and any business entity of which any of the foregoing is a director.
Affiliate Payments. All amounts payable to the Seller from its Affiliates.
Affiliate Payments. Except for amounts permitted to be paid under Section 7.04, no Borrower or any Subsidiary shall make, or incur or assume any obligation to make, any Affiliate Payment; PROVIDED, HOWEVER, that the Borrowers and Subsidiaries may (subject to Section 7.04 and the mandatory prepayment provisions set forth in Section 2.05(a)(ii)) make such Affiliate Payments if, but only if, after giving effect to each such Affiliate Payment, (a) no Default or Event of Default shall have occurred and be continuing, and (b) PriceSmart shall be in compliance with the financial ratios set forth in Section 6.10.
Affiliate Payments. Each Individual Borrower represents and warrants that no portion of the Initial Advance is intended to be paid to any Affiliate of such Individual Borrower (other than Borrower) and covenants that (a) no portion of any Subsequent Advance or Construction Draw shall be paid to any Affiliate of such Individual Borrower, (b) no portion of any disbursement from any reserve account maintained under this Loan Agreement shall be paid to any Affiliate of such Individual Borrower and (c) no portion of the Required Work shall be performed by any Affiliate of such Individual Borrower, whether or not on competitive terms.
Affiliate Payments. In the event that ORTHO grants a sublicense under this AGREEMENT to any AFFILIATE, or K-A enters into a separate Agreement with any AFFILIATE pursuant to Article 2, such AFFILIATE shall make any payments to K-A in accordance with the provisions of this AGREEMENT in United States Dollars at the prevailing rate of exchange of the currency of the country of such AFFILIATE on the date on which the royalty payment is due or in such other currency as both parties mutually agree upon.
