Sales Force Member definition

Sales Force Member means a Member who was employed prior to 1 January 2013 under the terms of his contract of service with the Company as a member of the sales force and whose conditions of employment specify that he will retire on his 60th birthday.
Sales Force Member means those employees and consultants listed on Schedule II hereto; provided, however, the Parties agree that any such person listed on Schedule II not offered employment with or the opportunity to consult for Licensee prior to the end of the thirty (30) calendar days following the Effective Date shall not be considered a “Sales Force Member”. No later than three (3) business days following the end of such thirty (30) calendar day period, the Licensee will provide the Licensor with a list of any Sales Force Member who was not offered employment with or the opportunity to consult for Licensee.
