Professional Fees. Borrower promises to pay Lender’s fees and expenses necessary to finalize the loan documentation, including but not limited to reasonable attorneys fees, UCC searches, filing costs, and other miscellaneous expenses. In addition, Borrower promises to pay any and all reasonable attorneys’ and other professionals’ fees and expenses (including fees and expenses of in-house counsel) incurred by Lender after the Closing Date in connection with or related to: (a) the Loan; (b) the administration, collection, or enforcement of the Loan; (c) the amendment or modification of the Loan Documents; (d) any waiver, consent, release, or termination under the Loan Documents; (e) the protection, preservation, sale, lease, liquidation, or disposition of Collateral or the exercise of remedies with respect to the Collateral; (f) any legal, litigation, administrative, arbitration, or out of court proceeding in connection with or related to Borrower or the Collateral, and any appeal or review thereof; and (g) any bankruptcy, restructuring, reorganization, assignment for the benefit of creditors, workout, foreclosure, or other action related to Borrower, the Collateral, the Loan Documents, including representing Lender in any adversary proceeding or contested matter commenced or continued by or on behalf of Borrower’s estate, and any appeal or review thereof.
Professional Fees. In the event of the bringing of any action or suit by a party hereto against another party hereunder by reason of any breach of any of the covenants, agreements or provisions on the part of the other party arising out of this Agreement, then in that event the prevailing party shall be entitled to have and recover of and from the other party all costs and expenses of the action or suit, including actual attorney's fees, accounting fees, and other professional fees resulting therefrom.
Professional Fees. Each of the parties will bear the fees and disbursements of their respective lawyers, advisers and consultants engaged by them respectively in connection with the transactions contemplated by this Agreement prior to the closing.

Borrower promises to pay Agent’s and Lenders’ reasonable fees and expenses necessary to finalize the loan documentation, including but not limited to reasonable attorneys’ fees, UCC searches, filing costs, and other miscellaneous expenses, provided that the Due Diligence Fee shall be applied in its entirety to the Lenders’ non-legal transaction costs and due diligence expenses. In addition, Borrower promises to pay any and all reasonable attorneys’ and other professionals’ fees and expenses incurred by Agent and Lenders after the Closing Date in connection with or related to: (a) the Loan; (b) the administration, collection, or enforcement of the Loan; (c) the amendment or modification of the Loan Documents; (d) any waiver, consent, release, or termination under the Loan Documents; (e) the protection, preservation, audit, field exam, sale, lease, liquidation, or disposition of Collateral or the exercise of remedies with respect to the Collateral; (f) any legal, litigation, administrative, arbitration, or out of court proceeding in connection with or related to Borrower or the Collateral, and any appeal or review thereof; and (g) any bankruptcy, restructuring, reorganization, assignment for the benefit of creditors, workout, foreclosure, or other action related to Borrower, the Collateral, the Loan Documents, including representing Agent or Lenders in any adversary proceeding or contested matter commenced or continued by or on behalf of Borrower’s estate, and any appeal or review thereof.
Professional Fees. The fee for the Initial Evaluation is $190.00. The fee for a 45-50 minute Therapy Session is $115.00. In addition to regular sessions, I charge a flat fee for (most) other professional Writing Services. These typically include Psychological Report Writing, FMLA Documents, Social-Security Disability Documents, Consulting with Other Professionals (with your permission), Preparation of Patient Records or Treatment Summaries, and time spent performing any other services you may request of me. If you become involved in Legal Proceedings- that require my participation, you will be expected to pay an hourly rate of $75.00 for my Clinical/Professional Time away from the office. TELEPHONE CONTACT Due to my work schedule, I am often not immediately available by telephone. I do not answer the telephone when I am with patient(s). When I am unavailable, the telephone is answered by office staff or by voice-mail that is monitored frequently. I will make every effort to return your call as soon as possible. If you have an emergency that cannot reasonably wait until the end of the business day, you are urged to call Crisis Services at 456-2014, 911 or proceed to the nearest Emergency-room. Evening hours, weekends and holidays I am immediately available for any emergencies by calling the office and leaving a [detailed] message, I will return your call within 20-30 minutes. PROFESSIONAL RECORDS/CONFIDENTIALITY You should be aware that, pursuant to HIPAA, I keep your PHI in two sets of professional records. One set constitutes your Clinical Record which contains information about your reasons for seeking therapy, a description of the ways in which your issues/problems impact your life, your diagnosis, the goals we have set for treatment, your medical/social histories, any past treatment records I have received from other providers, reports of any professional consultations, (your) billing records, and any information that has been sent from my/our office to a third party, including reports to your insurance carrier.
