Manager’s Expenses. Manager shall, out of its own funds, pay all of its general, overhead and administrative expenses (including those for off-site employees or offices not located within the Properties) except as set forth in a budget submitted by Manager and approved by Owner pursuant to Section 2.E.3 above or as otherwise specifically approved in advance by Owner.

Manager’s Expenses. Provider’s Revenues shall next be applied to pay all cumulative direct or indirect expenses incurred by Manager (including, without limitation, an allocable percentage of Manager’s corporate overheard) in developing the services provided hereunder including those services provided prior to the Effective Date and in carrying out its duties hereunder on behalf of Provider as well as any advances to Provider from Manager.
Manager’s Expenses. The Company shall pay or reimburse each Manager for the actual cost all reasonable, ordinary and necessary business expenses incurred by him in the course of performing his duties as a Manager of the Company, subject to approval by the Managers or any officer designated by the Managers. The Company shall also reimburse the Managers or their affiliates for organizational expenses (including, without limitation, legal and accounting costs) incurred by them to form the Company, prepare and file the Articles, and prepare this Agreement. Except as otherwise provided herein, the Managers and their affiliates shall not be reimbursed by the Company for the following expenses: (i) salaries, other compensation or fringe benefits of directors, officers or employees of the Managers or their affiliates; (ii) overhead expenses of the Managers or their affiliates, including (without limitation) rent and general office expenses; or (iii) the cost of providing any service or goods for which the Managers or their Affiliates are entitled to compensation.
Manager’s Expenses. Each Manager will bear its own costs and expenses incurred in connection with the issue of the Bonds, including fees and expenses of the Managerslegal advisers that exceed the amount in their respective engagement arrangements which have been approved by the Issuer and all travelling (including hotel accommodations and flight tickets, telecommunications, postage and other out-of-pocket expenses) in connection with investor presentations, if any.
