Equity Value Redemption Premium means 125%.

Equity Value Redemption Premium means, as of any date of determination, as applicable: (i) if the VWAP of the Common Stock as of the Trading Day immediately prior to such date of determination is less than $0.0238 (as adjusted for stock splits, stock dividends, stock combinations, recapitalizations and similar events)(the “Initial Conversion Price”), 120%, (ii) if the VWAP of the Common Stock as of the Trading Day immediately prior to such date of determination is greater than or equal to $0.0238, but less than $0.0357 (each as adjusted for stock splits, stock dividends, stock combinations, recapitalizations and similar events), 110% or (iii) if the VWAP of the Common Stock as of the Trading Day immediately prior to such date of determination is greater than or equal to $0.0357 (as adjusted for stock splits, stock dividends, stock combinations, recapitalizations and similar events), 100%.
Equity Value Redemption Premium means (i) for any Event of Default Notice delivered or required to be delivered in connection with an Event of Default, 120%; or (ii) for any Change of Control Notice delivered or required to be delivered in connection with a Change of Control, 120%.
