Xxxxxx Plans definition

Xxxxxx Plans means collectively the Xxxxxx Welfare Benefits Plans, the Xxxxxx Pension Benefit Plans, the Xxxxxx Executive Plans and the Xxxxxx Payroll Practices.
Xxxxxx Plans means, collectively, all material “employee benefit plan” (within the meaning of Section 3(3) of the Employee Retirement Income Security Act of 1974, (“ERISA”)) (other than a “multiemployer plan” (within the meaning of Section 3(37) of ERISA) (a “Multiemployer Plan” or “Multiemployer Plans”)) and all material stock purchase, stock option, phantom stock or other equity-based plans, severance, employment, collective bargaining, change-in-control, retention, fringe benefit, bonus, incentive, deferred compensation and all other material employee benefit and compensation plans, agreements, programs, policies or other arrangements, whether or not subject to ERISA, under which any current or former employee, director or consultant of Xxxxxx or its Subsidiaries (or any of their dependents) has any right to compensation or benefits or Xxxxxx or its Subsidiaries has any liability or with respect to which it is otherwise bound;
Xxxxxx Plans shall have the meaning ascribed to such term in Section 5.13 hereof.

Examples of Xxxxxx Plans in a sentence

  • Except as set forth in Section 5.13 of the Xxxxxx Disclosure Schedule, all Xxxxxx Plans are in compliance with, and have been administered and operated in accordance with, the terms of such Xxxxxx Plans and Applicable Law including ERISA and the Code, except for any failure to so comply, operate or administer the Xxxxxx Plans that would not have a Xxxxxx Material Adverse Effect.

  • Health and Welfare Plans means any plan, fund or program which was established or is maintained for the purpose of providing for its participants or their beneficiaries, through the purchase of insurance or otherwise, medical (including PPO, EPO and HDHP coverages), dental, prescription, vision, short-term disability, long-term disability, life and AD&D, employee assistance, group legal services, wellness, cafeteria (including premium payment, health flexible spending account and dependent care flexible spending account components), travel reimbursement, transportation, or other benefits in the event of sickness, accident, disability, death or unemployment, or vacation benefits, apprenticeship or other training programs or day care centers, scholarship funds, or prepaid legal services, including any such plan, fund or program as defined in Section 3(1) of ERISA.

  • Prior Plans means, collectively, the Company’s 2006 Long-Term Incentive Plan, as amended, 2009 Long-Term Incentive Plan, 2012 Long-Term Incentive Plan and 2013 Long-Term Incentive Plan. Awards granted under the Prior Plans continue to be governed under the terms of those Prior Plans.

  • Company Equity Plans means the Company’s 1994 Stock Option Plan, 1998 Stock Option Plan, 2000 Stock Option Plan, 2003 Equity Incentive Plan and 2005 Equity Incentive Plan, each as may be amended from time to time, and any stock option agreements, award notices, stock purchase agreements or other agreements or instruments executed and delivered pursuant thereto.

  • Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.

Although any Sub-Plan may be designated a separate and independent plan from the Plan in order to comply with applicable local laws, the Absolute Share Limit and the other limits specified in Section 5(b) shall apply in the aggregate to the Plan and any Sub-Plan adopted hereunder.

  • As built plans means drawings depicting conditions as they were actually constructed.

  • Development Plans means a coherent set of operations defined and financed exclusively by the OCTs in the framework of their own policies and strategies of development, and those agreed upon between an OCT and the Member State to which it is linked;
