Works Deliverables definition

Works Deliverables means all the plant, equipment, materials, structures, buildings, erections and/or any other deliverables to be provided by the Contractor in the course of executing the Works, as more particularly set out in the Contractor Works Order; and
Works Deliverables means all the plant, equipment, materials, structures, buildings, erections and/or any other deliverables to be provided by HHK in the course of executing Type B Services (Managed Service), as more particularly set out in the Works Order; and

  • SPONSOR releases UNIVERSITY and its Trustees, officers, employees, and agents from all liability, and shall be responsible, for any and all costs, damages, and expenses, including attorney fees, arising from any claims, damages, and liabilities asserted by third parties in connection with or arising from SPONSOR’s use of data, Inventions, Copyrightable Works, Deliverables, or any other Research results provided by UNIVERSITY.

  • For the avoidance of doubt, all Intellectual Property Rights in the Approved Design Works and the Works Deliverables shall vest in and be the exclusive property of the Company.

  • The Contractor shall immediately notify the Project Manger of the occurrence of any defects in the workmanship, installation and/or design of the Works Deliverables during the execution of the Works and/or during the Maintenance Period (if applicable).

  • Without prejudice to Conditions 2.1 to 2.4 (inclusive), the Contractor shall perform the Works (including the delivery of the Works Deliverables) in accordance with all applicable Planning Permissions and Local Authority Agreements, and shall ensure that it does not by any act or omission, cause the Company to be in breach of any such Planning Permissions and/or Local Authority Agreements.

  • In respect of Works Deliverables provided by the Contractor or other third parties, the Contractor shall use reasonable endeavours to procure that the Company and the Customer shall obtain the benefit of any third party warranty given to the Contractor.

  • If the execution of the Works and/or the delivery of the Works Deliverables requires the movement of any large and/or heavy duty plant, machinery and/or equipment either at the Site or to and/or from the Site ( Large Plant Movement), then prior to carrying out any such Large Plant Movement the Contractor shall notify the Project Manager of the nature of the Large Plant Movement and the proposed time and date of such Large Plant Movement.

  • HHK warrants to the Customer in respect of the Works Deliverables to be provided by HHK, that such deliverables shall be free of any material defects and shall comply with any agreed Specification for a period of six (6) months from the date of completion of the Works unless otherwise specified in the Works Order.

  • In respect of Works Deliverables provided by third parties HHK, shall use reasonable endeavours to procure that the Customer shall obtain the benefit of any third party warranty given to HHK.

  • Any exercise by the Project Manager of its right to reject any Design Works pursuant to Condition 4.4 shall not relieve the Contractor of its obligations to complete the Works and delivery of the Works Deliverables on or before the Date for Completion.

  • For the avoidance of doubt, the Warranty Period in respect of the Works Deliverables provided under the Contract shall not commence until the Project Manager has issued a Completion Certificate.

Related to Works Deliverables

  • Deliverables means the work product and other output of the Services required to be delivered by Contractor as part of the Services, as specified in the relevant section of the Contract.

  • Project Deliverables means the Project deliverables set out in Schedule 2. Project Material means all the material including but not limited to documents, computer software, and data stored by any means which is created by the Fellow in the course of undertaking the Project.

  • Purchaser Deliverables has the meaning set forth in Section 2.2(b).

  • Custom Deliverable means the Work Product that Contractor is required to deliver to the Eligible User under this Contract.

  • Investor Deliverables has the meaning set forth in Section 2.2(b).

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Independent Software Vendor or “ISV” means a Person that makes available to Participants and Authorized Traders a system or platform offering smart order routing, front-end trading applications, an aggregation platform or a combination of the foregoing but that does not provide Participants or Authorized Traders with the ability to effect transactions other than through the Trading System.

  • Font Software means the software provided by Branding with Type which, when used on an appropriate Device or Devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades, updates, related files, permitted copies, permitted conversions, and related documentation.

  • Real Property Deliverables means each of the following agreements, instruments and other documents in respect of each Facility:

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Client Materials means the CLIENT Development Materials and the CLIENT Production Materials.

  • Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services.

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the Court Materials or Confidential Information.

  • Work/ works means work / works to be executed in accordance with the contract.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Product Information has the meaning specified in Section 10.12(a).

  • Tyler Software means our proprietary software, including any integrations, custom modifications, and/or other related interfaces identified in the Investment Summary and licensed by us to you through this Agreement. • “we”, “us”, “our” and similar terms mean Xxxxx. • “you” and similar terms mean Client.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).
