Underwater Company Option definition

Underwater Company Option means any Company Option having an exercise price equal to or greater than the Conversion Per Share Amount, (ii) a “Terminated Company Associate” shall mean any Company Associate whose employment with Foundry or its affiliates is terminated on or prior to the Closing Date, and (iii) an “Identified Termination Company Award” shall mean (1) any Underwater Company Option that is (x) held by any member of the board of directors of the Company or by any Terminated Company Associate, or (y) required not to be assumed or substituted for by Parent in accordance with the Foundry Equity Award Conversion Methodology, and (2) any unvested Company Option or Company RSU that is held by a Terminated Company Associate, after giving effect to any acceleration of such awards provided for under applicable Company Contracts.
Underwater Company Option means each Company Option with a per share exercise price equal to or greater than the Per Share Cash Election Consideration.

Examples of Underwater Company Option in a sentence

  • For the avoidance of doubt, if the exercise price payable in respect of a share of Company Common Stock under a Company Stock Option that is outstanding immediately prior to the Effective Time exceeds the Company Share Value (each an “Underwater Company Option”), such Underwater Company Option shall be cancelled and terminated and shall be of no further force or effect, and no payment of cash or any other consideration or distribution shall be made with respect thereto.

  • Company Option means an option to purchase shares of Company Common Stock granted under the Company Incentive Plan.

  • Company SAR means any stock appreciation right linked to the price of Company Common Stock and granted under any Company Stock Plan.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

  • Company Option Plan means, collectively, each stock option plan, program or arrangement of the Company.

  • Company RSU means any restricted stock unit granted under any Company Stock Plan.

  • Company RSU Award means an award of restricted stock units relating to shares of Company Common Stock granted under a Company Equity Incentive Plan (including any dividend equivalent units credited thereon).

  • Company RSUs means any restricted stock units granted under any of the Company Equity Plans.

  • Company Warrant means a warrant to purchase shares of Company Capital Stock.

  • Company Stock Plans has the meaning set forth in Section 3.02(b).

  • Company Share means one share of common stock of the Company, $0.01 par value per share.

  • Parent Option means an option to purchase shares of Parent Common Stock.

  • Company Stock Plan means any stock option plan or other stock or equity-related plan of the Company.

  • Company Stock Option means any option to purchase Company Common Stock granted under any Company Stock Plan.

  • Company Stock Option Plans means the Company’s 2000 Employee Stock Option Plan, 1997 Employee Stock Option Plan and 1995 Stock Option Plan, in each case as amended.

  • Stock Plans shall have the meaning set forth in Section 3.7.

  • Approved Stock Plan means any employee benefit plan which has been approved by the Board of Directors of the Company, pursuant to which the Company's securities may be issued to any employee, officer or director for services provided to the Company.

  • Parent Stock Plans has the meaning set forth in Section 4.5(a).

  • Company Optionholder means a holder of Company Options.

  • Parent RSU means each restricted stock unit representing the right to vest in and be issued shares of Parent Common Stock by Parent, whether granted by Parent pursuant to a Parent Equity Plan, assumed by Parent in connection with any merger, acquisition or similar transaction or otherwise issued or granted and whether vested or unvested.

  • Company Warrants means warrants to purchase shares of Company Common Stock.

  • Company Share Plans mean (a) the Company’s Stock Related Award Incentive Plan of 1999, as amended; (b) the Company’s 2010 Stock Incentive Plan, as amended; and (c) the Company’s 2015 Stock Incentive Plan, as amended;

  • Parent Stock Plan has the meaning set forth in Section 6.2(a).

  • Company Optionholders means the holders of Company Options.
