Company Award means a Company Performance Unit, Company Phantom Share or Company RSU Award, as applicable.
Company Award means a right of any kind, contingent or accrued, to acquire or receive Shares or benefits measured by the value of Shares, and each award of any kind consisting of Shares that may be held, awarded, outstanding, payable or reserved for issuance under the Benefit Plans or Company Stock Option Plans, other than Company Stock Options.
Company Award means, as of any determination time, each award to any current or former director, manager, officer, employee, individual independent contractor or other service provider of any Group Company under the Company Incentive Plan.

For purposes of this definition of “Company Award,” the term “Subsidiary” shall include VMware and its subsidiaries.
