Transferred Marks definition

Transferred Marks mean the trade name JOE’S JEANS and all Trademarks, websites and domain names owned by Seller or its Subsidiaries that include the term “Joe’s Jeans”, “Joe’s”, JD or any terms confusingly similar thereto, and all other Trademarks that are used primarily in connection with the Joe’s Business, including the Trademarks set forth in Section 4.06(a) of the Seller Disclosure Letter.
Transferred Marks means the Marks that are listed on Schedule 1.181(a) and all of the goodwill of the Business associated with or appurtenant to such Marks as of the Closing; provided, however, that in no event will such Marks include the term "Mentor", those terms identified on Schedule 1.181(b) or any variations thereof, or any trade marks or trade names incorporating such name or the "Mentor" logo, or any trade marks, logos or designs confusing therewith.
Transferred Marks means the Marks listed on Section 1.1(f) of the Seller Disclosure Schedules under the heading “Transferred Marks.”

Examples of Transferred Marks in a sentence

  • Other than the Assigned Contracts included within the Material Contracts, there are no Contracts which license any of the Intellectual Property Assets, including the Transferred Marks, to any other Person or allow any Person to procure, distribute, import or sell any Product branded with or offered for sale under any of the Transferred Marks or otherwise limit the ability of Seller or any of its Subsidiaries to use any Intellectual Property Assets in any capacity.

  • No Transferred Marks and Domain Names or Other Transferred Registered IP are now involved in any opposition or cancellation proceeding, and no such proceeding is or, since January 1, 2010, has been threatened in writing with respect thereto.

  • Neither the Companies nor any of their Affiliates have received any written notice or claim challenging the validity or enforceability of any Transferred Marks and Domain Names or Other Transferred Registered IP that remains pending or unresolved as of the Effective Date.


More Definitions of Transferred Marks

Transferred Marks means the trademarks set forth on Schedule 1.1(e).
Transferred Marks means all of EPC's rights in the "Bitmap Compare" name (including the Intent-to Use application number 75,437,801 filed February 20, 1998 and the "First Article" name (including the regular trademark registration 2,188,548 issued September 8, 1998) and the business and goodwill of EPC associated with such trademarks.
