Examples of Retained Names and Marks in a sentence
The Company shall be entitled, for a period of thirteen (13) months following Completion Date to use all of the existing signs, letterheads, advertising and promotional materials, invoices, receipts, stationery, training materials, software, Internet Web sites and Internet domain names, inventory and other documents and materials containing the Retained Names and Marks (the “Existing Marked Materials”).
Except as expressly provided in Section 5.9(b) no other right to use the Retained Names and Marks is granted by Seller to Purchaser or its Affiliates whether by implication or otherwise, and nothing hereunder permits Purchaser or its Affiliates to use the Retained Names and Marks in any manner other than in connection with Existing Stock.
Following the expiration of thirteen (13) months following Completion Date referred to above, the Purchaser shall cause the Company to remove or replace any reference to the Retained Names and Marks from such Existing Marked Materials or to cease using such Existing Marked Materials.
Upon Seller’s request, Purchaser shall promptly execute all assignment, transfer and other documents, and take all steps, in each case, that are necessary or desirable to confirm, effectuate or otherwise evidence Seller’s and its Affiliates’ rights, title and interests in and to, and control over, the Retained Names and Marks, including the Internet domain names incorporating any Retained Names and Marks.
Any goodwill generated by the use of the Retained Names and Marks pursuant to the license in this Section 5.05 shall inure solely to the benefit of the Seller.
