TOP Charges definition

TOP Charges means the [component of the Access Charges referred to as ATP determined in accordance with Part 5 of Schedule 3 /charges determined in accordance with Schedule 3] payable to Aurizon Network by the End User in relation to the Access Rights and any interest payable in relation to such charges pursuant to this Agreement;
TOP Charges means the charges determined in accordance with Schedule 1 payable to QR Network by the End User in relation to the Access Rights and any interest payable in relation to such charges pursuant to this Agreement; [Note: the agreement should include an option for the End User to elect pay all Access Charges and for their to be no Access Charges levied under the TOA.]
TOP Charges means the take or pay charges for the Train Paths as determined under clause 1.1 of Schedule 3; Train means one or more units of Rolling Stock coupled together, at least one of which is a locomotive or other self-propelled unit;

Examples of TOP Charges in a sentence

  • To avoid doubt, any variation to TOP Charges paid during a calendar year resulting from complying with section 4 of the Undertaking, and specifically through complying with the applicable Ceiling Limit and calculation of any allocation of the total unders and overs amount, will not constitute a voluntary waiver of TOP Charges for the purpose of subsections (d) and (e).

  • To avoid doubt, nothing in this section 4 will prevent ARTC from charging Contributors and other Access Holders TOP Charges and non-TOP Charges as a result of the operation of a user funding agreement between Contributors and ARTC, in which case the TOP Charges and non-TOP Charges will be charged in accordance with section 10.2.

  • If ARTC’s Accreditation is suspended or cancelled for a continuous period of longer than one month, the Access Holder has the right to suspend its payment of the TOP Charges for the period commencing from the date of suspension or cancellation of Accreditation until ARTC’s Accreditation is restored.

  • Other than for liability for TOP Charges under clauses 12.8 and 16.3 or the indemnities given under clauses 4.6 and 13.5, neither party will be liable to the other party for any Consequential Loss relating to this agreement however arising (including under this agreement, in tort including negligence, or for breach of any statutory duty).

  • In determining Charges, ARTC will have regard to the objective of providing for an open and equitable mechanism for the application of TOP Charges.

  • To the extent an Access Holder that nominated Relinquished Capacity is unable to assign or trade that capacity to a third party, then that Access Holder remains liable to ARTC for the TOP Charges for any Relinquished Capacity in accordance with the terms of its Access Agreement.

  • Track Charges means the charges payable by or on behalf of the Train Operator to Network Rail, as set out in paragraph 1 of Part 2 of Schedule 7 or under the Traction Electricity Rules;

  • SLDC Charges means the charges levied by the SLDC of the state wherein the Solar Power Project is located;

  • CCAA Charges means the Administration Charge and the Directors’ Charge;

  • Monthly Charges means a finance carrying charge of **** and a storage and handling charge of ****, in each case of the Cost of the Inventory and/or Special Inventory and/or of the fees for the Product affected by the reschedule or cancellation (as applicable) per month until such Inventory and/or Special Inventory and/or Product is returned to the vendor, used to manufacture Product or is otherwise purchased by Customer.

  • Contract Charges means charges that accrue during a given month as defined in Article III. “Contract Term” is defined in Article IV.

  • User Charges means a charge made to airlines by a service provider for the provision of airport, airport environmental, air navigation and aviation security facilities, for aircraft, their crews, passengers and cargo.

  • Utility Charges means water, sewer, electricity, gas and other utility charges, if any, applicable to the Real Property or the Leased Real Property;

  • Service Charges means the fees levied by the municipality in terms of its tariff policy for any municipal services rendered in respect of an immovable property and includes any penalties, interest or surcharges levied or imposed in terms of this policy.

  • Imbalance Charges means any fees, penalties, costs or charges (in cash or in kind) assessed by a Transporter for failure to satisfy the Transporter's balance and/or nomination requirements.

  • Water Charges means service charges in respect of the provision of water.

  • Non-Cash Charges has the meaning specified in the definition of the term “Consolidated EBITDA”.

  • Termination Charges means any compensatory charges payable by the Customer to BT on termination of this Agreement in whole or in part or a Service as set out in a Schedule or Order. “Transaction Taxes” mean VAT, GST, sales, consumption, use or other similar taxes, customs duties, excise taxes, and regulatory and other fees or surcharges relating to the provision of a Service. “UK GDPR” means the GDPR as applicable as part of UK domestic law by virtue of section 3 of the European Union (Withdrawal) Act 2018 and as amended by the Data Protection, Privacy and Electronic Communications (Amendments etc) (EU Exit) Regulations 2019 (as amended), as amended or replaced. “User” means any person who is permitted by the Customer to use or access a Service.

  • Unpaid Charges means any charges billed to the Non-Paying Party that the Non-Paying Party did not render full payment to the Billing Party by the Bill Due Date, including where funds were not accessible.

  • Usage Charges means the Charges for the Service or applicable part of the Service that are calculated by multiplying the volume of units that the Customer used or incurred in a period (e.g. number of users using the Service, or the number of minutes the Service was used for) with the relevant fee that is specified in the Online Order.

  • Bond Service Charges means, for any period or payable at any time, the principal of, premium, if any, and interest on the Bonds for that period or payable at that time whether due at maturity or upon redemption, Mandatory Tender or acceleration.

  • Hire Charges means the rates and charges payable by You for the hire of the Equipment.

  • Total Service Charges means all charges, after application of all discounts and credits, for Services excluding Taxes, Governmental Charges, equipment, Company ILEC, Company Wireless, Document Delivery Fax, non-recurring, goods and services acquired by Company as Customer’s agent, international pass-through access (Type 3/PTT) and charges for international access or provided by Company (Type 1), charges for security services provided by Cybertrust, Inc. or its affiliates set forth in the Guide as providers of Cybertrust security services and other charges expressly excluded by this Agreement.

  • Maintenance Charges means the charges payable by the applicant to the Maintenance Agency in accordance with the demand raised by the Maintenance Agency for the maintenance and up keep of the said building/ said complex, including common areas and facilities but does not include; (a) the charges for actual consumption of utilities in the Dwelling Unit including but not limited to electricity, water, which shall be charged based on actual consumption on monthly basis and (b) any statutory payments, taxes, with regard to the Dwelling Unit/ said building/said complex.

  • Debt charges means the principal, including any mandatory sinking fund deposits and mandatory redemption payments, interest, and any redemption premium, payable on securities as those payments come due and are payable. The use of "debt charges" for this purpose does not imply that any particular securities constitute debt within the meaning of the Ohio Constitution or other laws.

  • Monthly Charge shall have the meaning set forth in Article 5.

  • Tax Fees means the aggregate fees billed in each of the last two fiscal years for professional services rendered by the Company’s external auditor for tax compliance, tax advice and tax planning.

  • Cancellation Charges means collectively (i) the Booking Amount; (ii) all interest liabilities of the Allottee accrued till date of cancellation; and (iii) brokerage paid to real estate agent/channel partner/broker, if any (iv) the stipulated charges on account of dishonour of cheque; (v) administrative charges as per Promoter’s policy and (vi) amount of stamp duty and registration charges to be paid/paid on deed of Cancellation of this Agreement

  • Prepayment Charges Any prepayment premium or charge payable by a Mortgagor in connection with any Principal Prepayment on a Mortgage Loan pursuant to the terms of the related Mortgage Note or Mortgage, as applicable.

  • Premium surcharge means a payment required from a subscriber, in addition to the subscriber's medical premium contribution, due to an enrollee's tobacco use or an enrolled subscriber's spouse or state registered domestic partner choosing not to enroll in their employer- based group medical when:

  • Default Charges Default Interest and/or late payment charges that are paid or payable, as the context may require, in respect of any Mortgage Loan or Serviced Pari Passu Companion Loan or REO Mortgage Loan.

  • Debt Service Charges means for any Measurement Period, the sum of (a) Consolidated Interest Charges paid or required to be paid for such Measurement Period, plus (b) principal payments made or required to be made on account of Indebtedness (excluding the Obligations and any Synthetic Lease Obligations but including, without limitation, Capital Lease Obligations) for such Measurement Period, in each case determined on a Consolidated basis in accordance with GAAP.
