Imbalance Charges definition

Imbalance Charges means any fees, penalties, costs or charges (in cash or in kind) assessed by a Transporter for failure to satisfy the Transporter's balance and/or nomination requirements.
Imbalance Charges means costs and charges incurred by or for the account of the Generator pursuant to the Balancing Mechanism by reason of its contracted volumes not matching its metered volumes in relation to output from the Facility, and at the Agreement Date includes the Daily Party Energy Imbalance Cashflow;
Imbalance Charges means all penalties, fees, assessments and other costs, debits and charges (whether in effect as of the Effective Date or at any time in the future) assessed or imposed for Energy Imbalances, including revenue sufficiency guarantee and similar charges, costs of purchasing imbalance or real-time Energy to settle under-generated Contract Energy or under produced Storage Energy; settlement at negative prices of over-generated Contract Energy or over- produced Storage Energy; other settlement charges; and other costs, debits and charges in all cases as assessed pursuant to the MISO Rules or such other applicable tariff or rate schedule or an applicable Balancing Authority’s or other applicable Transmission Provider’s balance, scheduling or other requirements.

  • Imbalance Charges shall not be recovered under this Section 3.2, but Seller and/or Buyer shall be responsible for Imbalance Charges, if any, as provided in Section 4.3. The amount of such unfavorable difference shall be payable five Business Days after presentation of the performing party’s invoice, which shall set forth the basis upon which such amount was calculated.

  • If Buyer or Seller receives an invoice from a Transporter that includes Imbalance Charges, the parties shall determine the validity as well as the cause of such Imbalance Charges.

Imbalance Charges means any penalties, fees or charges assessed by (i) a transmission provider or a Control Area operator for failure to satisfy requirements for balancing of electric energy receipts and deliveries or loads and generation, including, without limitation, any amounts payable by Seller pursuant to the Generator Imbalance Agreement relating to its facility or (ii) a transporter for failure to satisfy the transporter’s balance and/or nomination requirements.
Imbalance Charges means any fees, penalties, costs or charges (in cash or in kind) assessed by DC or ISO for failure to satisfy balancing or nominations requirements at any Delivery Point.
Imbalance Charges means all penalties, fees, assessments and other costs, debits and charges (whether in effect as of the Effective Date or at any time in the future) assessed or imposed for Energy Imbalances, including revenue sufficiency guarantee and similar charges, costs of purchasing imbalance or real-time Energy to settle under-generated Contract Energy; settlement at negative prices of over-generated Contract Energy; other settlement charges; and other costs, debits and charges in all cases as assessed pursuant to the MISO Rules or such other applicable tariff or rate schedule or an applicable Balancing Authority’s or other applicable Transmission Provider’s balance, scheduling or other requirements.

Imbalance Charges means any Scheduling penalties, imbalance penalties, overpull or unauthorized overrun penalties, operational flow order penalties, cash out charges, banking charges, or similar penalties, fees or charges assessed by a Transporter for failure to satisfy the Transporter's balancing and/or Scheduling requirements. 2.19 "Index Price" means the monthly posting (expressed in $/MMBtu) published in Platts Gas Daily Price Guide under "Monthly Contract", "Index", "Market Centers", "Northeast", "Niagara" (as such publication exists as of the date hereof). If such monthly index or such publication ceases to be published, the Parties shall in good faith determine a replacement monthly index to be utilized from the date the foregoing index or publication ceases to be published for the remainder of the term of this Base Contract (subject to further replacement as provided herein in the event that the replacement index ceases to be published), which replacement index shall reflect, to the maximum extent possible, the market cost of natural gas delivered to the Project. 2.20 "Maintenance Outage" means a partial or full interruption in the generating capability of the Facility due to the removal of a unit from service to perform work on specific components that can be deferred beyond the end of the then next weekend, but requires the unit to be removed from service before the next Planned Outage. 2.21 "MMBtu" shall mean one million BTUs. 2.22 "Month" shall mean the period beginning on the first calendar day of the calendar month and ending on the last calendar day of the same calendar month. 2.23 "Nomination" means Buyer's designation to Seller of the amount of Gas to be delivered to a Delivery Point during the Gas Day or Gas Days specified in the Nomination. 2.24 "Outage" shall mean Forced, Planned, or Maintenance Outage.
