Termination Charges definition

Termination Charges means any compensatory charges payable by the Customer to BT on termination of this Agreement in whole or in part or a Service as set out in a Schedule or Order. “Transaction Taxes” mean VAT, GST, sales, consumption, use or other similar taxes, customs duties, excise taxes, and regulatory and other fees or surcharges relating to the provision of a Service. “UK GDPR” means the GDPR as applicable as part of UK domestic law by virtue of section 3 of the European Union (Withdrawal) Act 2018 and as amended by the Data Protection, Privacy and Electronic Communications (Amendments etc) (EU Exit) Regulations 2019 (as amended), as amended or replaced. “User” means any person who is permitted by the Customer to use or access a Service.
Termination Charges means, with respect to the termination of any Service pursuant to Section 5.02(a)(i), the sum of (a) any and all costs, fees and expenses (other than any severance or retention costs) payable by Provider of such Service to a Third Party principally because of the early termination of such Service; provided, however, that Provider shall use commercially reasonable efforts to minimize any costs, fees or expenses payable to any Third Party in connection with such early termination of such Service and credit any such reductions against the Termination Charges payable by Recipient; and (b) any additional severance and retention costs, if any, because of the early termination of such Service that Provider of such terminated Service incurs to employees who had been retained primarily to provide such terminated Service (it being agreed that the costs set forth in this clause (b) shall only be the amount, if any, in excess of the severance and retention costs that such Provider would have paid to such employees if the Service had been provided for the full period during which such Service would have been provided hereunder but for such early termination).
Termination Charges means any and all fees or expenses (which may include breakage fees, early termination fees or charges, or minimum volume charges) owed to any unaffiliated third-party provider as a result of an early termination or reduction of a service provided hereunder.

Examples of Termination Charges in a sentence

  • If the service to which we propose you migrate is detrimental to you, you may cancel the Service prior to any migration without the payment of any Early Termination Charges.

  • If you exercise your right to cancel under this clause, then you must pay us all charges for Services provided up to the cancellation, including all other outstanding amounts as at the date of, and/or arising as a result of such cancellation (including any applicable Early Termination Charges) as set out in this Service Schedule.

  • Upon the mutual written agreement of the Parties, the Parties shall enter into a supplement to the applicable Schedule which shall describe in reasonable detail the nature, scope, Service Period(s), Service Charges, termination provisions (including, if applicable, Termination Charges and Decommissioning Charges) and other terms applicable to such Additional Service in a manner similar to that in which the Services are described in the existing Schedules.

  • After your Service has renewed, you can terminate your Service at any time in which case we will not charge you the standard Early Termination Charges, but we may charge you an amount equal to the actual third party costs and expenses that we have incurred or committed to in anticipation of providing the Service to you and that cannot be reasonably avoided by us as a result of the termination.

  • If the updated charges cause you more than a minor detriment, you may cancel the Service without payment of any Early Termination Charges by providing us with written notice delivered within 45 days from our written notice to you under this clause 8.3.


More Definitions of Termination Charges

Termination Charges shall have the meaning set forth in Section 7.01(b)(i)(A).
Termination Charges means, with respect to the termination of any Service pursuant to Section 4.02(a)(i), any and all costs, fees and expenses unless otherwise specified with respect to a particular Service on the Schedules hereto, or in the other Ancillary Agreements, payable by Provider or its Subsidiaries to a Third Party to the extent resulting from the early termination of such Service.
Termination Charges means the charges You may incur if You cancel Your Claim(s) after the Cooling-off Period.
Termination Charges has the meaning ascribed thereto in Section 6.05(d).
