Strategic Investee means, with respect to the Borrower, any Person (other than a Guarantor) of which the Borrower owns, directly or indirectly, more than 25% of the outstanding Securities or other ownership interests having ordinary voting power to elect directors or other individuals performing similar functions.

  • Strategic Investor means a Corporation, partnership or other entity engaged in one or more Telecommunications Businesses that has, or 80% or more of the Voting Stock of which is owned by a Person that has, an equity market capitalization, at the time of its initial Investment in the Company or in a Permitted Joint Venture with the Company, in excess of $2 billion.

  • Non-Investment Personnel means any Employee that does not meet the definition of Investment Personnel as listed above.

  • Sponsor Management Agreement means the management agreement between certain of the management companies associated with the Investors and the Issuer.

  • Investment Management Fee means each of the Senior Investment Management Fee, the Subordinated Investment Management Fee and the Incentive Investment Management Fee.
