Equity Investors definition

Equity Investors means the Sponsors and the Management Stockholders.
Equity Investors means the Sponsor and its Controlled Investment Affiliates and limited partners.
Equity Investors means Affiliates of Sponsor or such Affiliates and one more other investors reasonably satisfactory to the Arrangers.

Equity Investors means the Entities set forth on Exhibit A to the Equity Commitment Letter.
Equity Investors means individually and collectively, (a) Cerberus Capital Management, L.P., (b) ▇▇▇▇▇▇-▇▇▇▇▇ Partners, L.P., (c) ▇▇▇▇▇ Realty, L.P., (d) Schottenstein Stores Corporation, and (e) Kimco Realty Corporation.
Equity Investors means Sponsor, its Controlled Investment Affiliates (other than PBFH and its Subsidiaries) and one or more other investors (which other investors are reasonably satisfactory to ▇▇▇▇).
Equity Investors means the Sponsor and the Management Shareholders and the other members of Investors LLC as of the Closing Date.
Equity Investors means Hi-Crush Proppants and/or the General Partner, as applicable.
Equity Investors means the Sponsors, any member of management and any other equity holders of the outstanding Equity Interests of the Parent Borrower or its direct or indirect parent company on the Closing Date (and, in the case of any management equity holder, any such management equity holder after the Closing Date).
Equity Investors means (i) the Sponsors, and any other funds or managed accounts advised or managed by any Sponsor or one of a Sponsor’s Affiliates, (ii) any Person that has no material assets other than the capital stock of the Company or a direct or indirect parent of the Company, and of which no other Person or group (within the meaning of Section 13(d)(3) or Section 14(d)(2) of the Exchange Act, or any successor provision), other than any Equity Investor specified in clause (i) above, holds more than 50% of the total voting power of the Voting Stock thereof, and (iii) any group (within the meaning of Section 13(d)(3) or Section 14(d)(2) of the Exchange Act, or any successor provision) the members of which include any Equity Investor specified in clause (i) above and that, directly or indirectly, hold or acquire beneficial ownership of the Voting Stock of the Company (a “Permitted Group”), so long as (1) each member of the Permitted Group has voting rights proportional to the percentage of ownership interests held or acquired by such member and (2) no Person or other “group” (other than an Equity Investor specified in clause (i) above) beneficially owns more than 50% on a fully diluted basis of the Voting Stock held by the Permitted Group.
