Series B Redemption definition

Series B Redemption means a redemption of the Shares by the Corporation pursuant to Section 7.1 or Section 7.2.
Series B Redemption means the redemption of the Series B Units by Funding from CLCLLC for $15,982,760.54.
Series B Redemption means a “Redemption”, as such term is defined in the Series B Certificate of Designations.

Series B Redemption has the meaning as set forth in the definition of Transaction contained herein.

With respect to distribution of assets upon liquidation, dissolution or winding up of the Corporation, whether voluntary or involuntary, all Shares of the Series B Preferred Shares shall rank senior to all Junior Securities, and the Corporation shall not issue any other series of Preferred Stock that ranks equal or senior to the Series B Preferred Shares while any Share is outstanding. Series B Redemption means each distribution with respect to the TWE Series B Interests in accordance with Section 8.4(c)(ii) of the TWE Partnership Agreement.

Related to Series B Redemption

  • Term Redemption Date means, with respect to any Series, the date specified as the Term Redemption Date in the Appendix for such Series.

  • Final Preference Share Redemption Date means the date that falls twenty Business Days following the Valuation Date on which the Calculation Agent has determined the Final Preference Share Redemption Amount or, if earlier, the first Auto-Call Valuation Date on which an Auto-Call Trigger Event has occurred.

  • Optional Redemption Price means $25,000 per share plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends plus any applicable redemption premium attributable to the designation of a Premium Call Period.
