Optional Redemption definition

Optional Redemption shall have the meaning specified in Section 16.01.

  • For the avoidance of doubt, if the Company elects to redeem less than all of the outstanding Notes pursuant to an Optional Redemption, Holders of the Notes that are not called for such Optional Redemption shall not be entitled under this ‎Section 14.03 to an increase in the Conversion Rate for conversions of such Notes (on account of the relevant Notice of Optional Redemption) during the applicable Redemption Period, except in the circumstances set forth in ‎Section 16.02(b).

  • On or prior to 11:00 A.M., New York City time, on the applicable Optional Redemption Date, the Company shall deposit with the Paying Agent (or the Trustee) in immediately available funds money sufficient to pay the Redemption Price of, including premium, if any, and accrued and unpaid interest on all Notes to be redeemed on that date other than Notes or portions thereof called for redemption on that date which have been delivered by the Company to the Trustee for cancellation.
